010/—g <br /> dv/iliv <br /> •ETT <br /> atir <br /> TEMPORARY CONSTRUCTION AND MAINTENANCE EASEMENT <br /> THIS TEMPORARY CONSTRUCTION AND MAINTENANCE EASEMENT (this <br /> "Easement" or "Easements") is dated for reference purposes September 15, 2017 ("Effective <br /> Date"),by and between the Riverfront Commercial LLC("Grantor"),and the City of Everett <br /> ("City" or"Grantee") as Grantee. <br /> Grantor is the owner of the real property described on attached Exhibit A (the <br /> "Landfill"). The City will be completing a project in a portion of the Landfill related to the <br /> landfill gas system (the "Easement Improvements"). The completed Easement Improvements <br /> will be located approximately as shown in green on the attached Exhibit B and labelled as <br /> "Proposed 8" Landfill Gas Extension Header." <br /> In consideration of the mutual benefits to be derived from the Project, Grantor agrees that <br /> the City may install the Project as shown in Exhibit B (the "Easement Area"). Grantor grants <br /> to the City and the City's contractor a temporary non-exclusive easement within and under the <br /> area shown in red the attached Exhibit B and labelled as "Temporary Easement," for the <br /> purposes of constructing and maintaining the Project. This easement is effective on the <br /> Effective Date and expires on such date that the Grantor sells or otherwise transfers the Landfill <br /> to a new owner. This Easement will not be recorded. Grantor shall at all times conduct their <br /> activities and any other activities on the Landfill so as not to unreasonably interfere with, <br /> obstruct or endanger the Project. The City shall require its contractor to add Riverfront <br /> Commercial LLC as an additional insured under its commercial general liability policy. <br /> The parties hereto(or their predecessors-in-interest)are parties to the Grant of Easement <br /> for Existing Landfill Systems and Related Utililies dated May 14, 2008, and recorded under <br /> 200805140923 (the"Existing Easement"). The parties agree that Sections 5-13 (inclusive),and <br /> 15 of the Existing Easement are incorporated into this Temporary Easement. Defined terms in <br /> those sections are as defined in the Existing Easement, with this Temporary Easement as one <br /> of the "Easements"defined under the Existing Easement. <br /> [SIGNATURE PAGES ATTACHED] <br /> 1 <br />
