CITY AMENDMENT NO. 1 PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND OTAK, INC. WHEREAS, Otak, Incorporated and the City entered into a professional services agreement dated August 15, 2016 ("Agreement")to provide engineering consulting services for dike repairs on Smith Island; and WHEREAS, Otak, Inc., completed the work scope to-date and further efforts are needed to complete the design and permitting of the dike repair project, and the City requests further assistance from Otak for this project; and WHEREAS, the City and Otak, Inc., agree to amend their Agreement to: (a)provide a new scope of consulting services related to permitting and final design of the Smith Island dike repair; (b) extend the time for completion from December 31, 2018 to December 31, 2019; and(c) add an additional $182,291.00 to the total compensation; NOW THEREFORE, the City of Everett and Otak, Inc., agree to amend and modify the Agreement as follows: A. The following work is added to the Scope of Work described in Exhibit A of the Agreement: "This amendment to the existing scope of work is for the second phase of the project and will assist DD5, through a contract with the City of Everett, by providing supplemental survey and mapping for the areas of the repairs, final design, construction documents and permitting assistance for the selected dike repair." B. Paragraph 3, Time of Beginning and Completion of Performance, is modified to read as follows: "This Agreement shall commence as of the date of execution of this Agreement and shall be completed by December 31, 2019." C. Paragraph 4(D), Compensation, is modified to read as follows: "Total compensation, including all services and expenses, shall not exceed a maximum of Four hundred and eighteen thousand, four hundred and sixty seven dollars ($409,443)." D. The effective date of this Amendment is the date of its full execution.
