Traffic Data Gathering 12/6/2017 Amendment 1

CITY AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND TRAFFIC DATA GATHERING The City and Traffic Data Gathering agree to amend and modify their professional services agreement dated 28 June 2017 (the "Agreement") as follows: WHEREAS, Traffic Data Gathering and the City entered into an Agreement dated June 28, 2017 ("Agreement")to provide traffic data collecting services for the Annual Data Collection Project; and WHEREAS, work is not yet complete on the Annual Data Collection Project for which Traffic Data Gathering provided traffic data collecting services; and WHEREAS, the City of Everett desires continued assistance from Traffic Data Gathering for such services on this project to add twenty-five (25) additional traffic data count locations; and WHEREAS,the City and Traffic Data Gathering agree to amend their Agreement to: (a) increase the maximum compensation by an additional $9,600 from the current contract level of$40,200 to $49,800; NOW THEREFORE, the City of Everett and Traffic Data Gathering agree to amend and modify the previously amended Agreement as follows: 1. The following work is added to the Scope of Work described in Exhibit A of the Agreement: Task 1: Data Collection Provide tube count traffic data for the one hundred-six (106) locations in Table A and Table B, an additional twenty-five (25) locations. 2. Paragraph 4(D) is modified to read as follows: Total compensation, including all services and expenses, shall not exceed a maximum of Fifty Thousand Seven Hundred Dollars ($49,800). 3. The effective date of this Amendment is December 15, 2017. 4. All terms, conditions and provisions of the Agreement remain in full force and effect except as expressly modified by this Amendment, Page 1 of 2
