2 <br /> promptly elect a new officer who shall serve for the remainder of the unexpired two-year <br /> term. The Governing Board may appoint persons to serve as Secretary and Treasurer of <br /> Snohomish County 911; provided, that such persons shall not be Members of the <br /> Governing Board. The duties of all officers shall be further described in the Snohomish <br /> County 911 Bylaws. <br /> 1. Staffing. The Executive Director shall assign agency staff to support the <br /> Governing Board as he or she deems appropriate. <br /> m. Meetings. The Governing Board shall meet not less than four (4) times <br /> per year, at least once each calendar quarter, at a time and place designated by the <br /> President of the Governing Board or by a majority of its Members. Regular meetings <br /> shall be held pursuant to a schedule adopted by the Governing Board. Special meetings <br /> may be called by the President or a majority of Governing Board Members upon giving <br /> all other Members notice of such meeting in accordance with chapter 42.30 RCW(which, <br /> as of the date of this Agreement, requires written notice to be provided to each Member <br /> at least twenty-four (24) hours prior to the meeting). Notwithstanding the foregoing, the <br /> President or Members calling a special meeting will, in good faith, attempt to provide at <br /> least ten(10)days prior written notice of a special meeting, however, failure to do so will <br /> not invalidate any otherwise legal action taken at a meeting where the proper notice was <br /> provided in accordance with chapter 42.30 RCW. In an emergency,the Governing Board <br /> may dispense with written notice requirements for special meetings, but must, in good <br /> faith, implement best efforts to provide fair and reasonable notice to all Governing Board <br /> Members. Members of the Governing Board may participate in a meeting through the <br /> use of any means of communication by which all Members and members of the public <br /> participating in such meeting can hear each other during the meeting. Any Governing <br /> Board Members participating in a meeting by such means is deemed to be present in <br /> person at the meeting for all purposes including, but not limited to, establishing a <br /> quorum. <br /> n. Bylaws. The Governing Board shall be authorized to establish bylaws that <br /> govern procedures of the Governing Board. <br /> o. Parliamentary Authority. Robert's Revised Rules of Order shall govern <br /> any proceeding of the Governing Board to the extent not inconsistent with this <br /> Agreement or the bylaws adopted by the Governing Board. <br /> p. Consultation with Technical Advisory Committees. It is the intent of this <br /> Agreement that the Governing Board shall seek the active participation and advice of <br /> Participating Agencies in the determination of Snohomish County 911 operating policies. <br /> The Technical Advisory Committees shall have the opportunity to provide reports at each <br /> 17 <br /> 31 <br />
