CITY <br /> AMENDMENT NO. 11 <br /> TO <br /> AMBULANCE TRANSPORT BILLING SERVICES AGREEMENT <br /> BETWEEN THE CITY OF EVERETT <br /> AND SYSTEMS DESIGN WEST, LLC <br /> This Amendment is dated for reference purposes January 1, 2018. It is by and <br /> between the City of Everett, a municipal corporation under the laws of the State of <br /> Washington ("City") and Systems Design West, LLC previously named Systems Design <br /> Northwest, Inc. ("Service Provider"). <br /> RECITALS <br /> A. The City and Service Provider are parties to the Ambulance Transport <br /> Billing Services Agreement signed by the Mayor on March 28, 2005, as amended by <br /> Amendments Nos. 1-10 (as amended by such amendments, the "Agreement"). The <br /> Agreement was originally awarded in 2005 pursuant to Request for Proposals 2004-737. <br /> B. The purpose of this Amendment is to extend the expiration date of the <br /> Agreement. <br /> AGREEMENT <br /> The City and Service Provider agree as follows: <br /> 1. The Agreement is amended so that the Agreement remains in effect until <br /> December 31, 2018. <br /> 2. The Agreement is amended so that the fee in the Agreement, which prior to this <br /> Amendment was $20.50 per transport plus postage, is increased to $22.00 per <br /> transport plus postage. <br /> 3. Regardless of the date(s) on which this Amendment is signed by the parties, the <br /> parties agree that the Agreement shall be deemed to have been continuously in <br /> effect since April 1, 2005. <br /> 4. At the sole discretion of the City, the City may consent to the Service Provider's <br /> signature on this Amendment being by email, fax, pdf or other electronic means, in <br /> which case such Service Provider signature will be deemed an original signature for <br /> all purposes. The City will be deemed to have given such consent effective upon <br /> execution of this Amendment by the Mayor of the City <br /> 5. All provisions in the Agreement shall remain in effect except as expressly <br /> modified by this Amendment. <br />
