CITY AMENDMENT NO. 11 TO AMBULANCE TRANSPORT BILLING SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND SYSTEMS DESIGN WEST, LLC This Amendment is dated for reference purposes January 1, 2018. It is by and between the City of Everett, a municipal corporation under the laws of the State of Washington ("City") and Systems Design West, LLC previously named Systems Design Northwest, Inc. ("Service Provider"). RECITALS A. The City and Service Provider are parties to the Ambulance Transport Billing Services Agreement signed by the Mayor on March 28, 2005, as amended by Amendments Nos. 1-10 (as amended by such amendments, the "Agreement"). The Agreement was originally awarded in 2005 pursuant to Request for Proposals 2004-737. B. The purpose of this Amendment is to extend the expiration date of the Agreement. AGREEMENT The City and Service Provider agree as follows: 1. The Agreement is amended so that the Agreement remains in effect until December 31, 2018. 2. The Agreement is amended so that the fee in the Agreement, which prior to this Amendment was $20.50 per transport plus postage, is increased to $22.00 per transport plus postage. 3. Regardless of the date(s) on which this Amendment is signed by the parties, the parties agree that the Agreement shall be deemed to have been continuously in effect since April 1, 2005. 4. At the sole discretion of the City, the City may consent to the Service Provider's signature on this Amendment being by email, fax, pdf or other electronic means, in which case such Service Provider signature will be deemed an original signature for all purposes. The City will be deemed to have given such consent effective upon execution of this Amendment by the Mayor of the City 5. All provisions in the Agreement shall remain in effect except as expressly modified by this Amendment.
