i y. • AMENDMENT NO. 12 PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND PERTEET,INC. This Amendment No. 12 is dated for reference purposes December 2017. It is by and between the City of Everett, a municipal corporation under the laws of the State of Washington ("City") and Perteet, Inc. ("Contractor"). RECITALS A. The City and Contractor are parties to the Professional Services Agreement dated May 29, 2007, as amended, (the "Agreement"), with respect to the Riverfront Development. Under the Agreement, the Contractor provides design and consulting services related to the Riverfront Development. B. The City and the Contractor desire to amend the Agreement for the purpose of completion of Riverfront Development projects. This requires an increase of.$28,081.00 in the compensation under the Agreement, and additional time for completion. The scope of work for this work is attached to this amendment,marked as Exhibit A. A budget breakdown of the$28,081.00 is attached to this amendment, marked as Exhibit B and C. AGREEMENT The City and Contractor agree as follows: 1. The Agreement is amended to add$28,081.00, as shown in the attached Exhibit B and C. Accordingly, Section 4.0 of the Agreement is amended, so that it provides that total compensation,including all services and expenses, shall not exceed a maximum of$3,746,215.00. The attached Exhibit B and C is added to the Agreement. 2. The Agreement scope of work is amended to add the scope of work attached as Exhibit A. 3. Modify Paragraph 3 "Time of Beginning and Completion of Performance" as follows: This Agreement shall commence as of the date of execution of this agreement and shall be completed by December 31, 2018. 4. All provisions in the Agreement shall remain in effect except as expressly modified by this Amendment. 176
