I <br /> ARTICLE XL MISCELLANEOUS <br /> 11.1 Brokers and Finders. Developer has represented to City that Developer is <br /> not represented in this transaction by any broker. In the event of any claim for broker's <br /> fee, finder's fee, commission or other similar compensation in connection with this <br /> Agreement,Developer, if such claim is based upon any agreement alleged to have been <br /> made by Developer, hereby agrees to indemnify City against any and all damages, <br /> liabilities, costs and expenses (including, without limitation, reasonable attorneys' fees <br /> and costs)that City may sustain or incur by reason of such claim. City, if such claim is <br /> based upon any agreement alleged to have been made by City,hereby agrees to indemnify <br /> Developer against any and all damages,liabilities,costs and expenses(including,without <br /> limitation, reasonable attorneys' fees and costs) that Developer may sustain or incur by <br /> reason of such claim. Notwithstanding anything to the contrary herein,the provisions of <br /> this Section shall survive the termination of this Agreement or the Closing. <br /> 11.2 Notices.
