11. Counterparts. The Settlement Agreement may be executed in any number <br /> of counterparts with the same effect as if all Parties hereto had all signed the same <br /> document. All counterparts shall be construed together and shall constitute one <br /> Settlement Agreement. Signatures on the Settlement Agreement may be by facsimile or <br /> email transmission, and signatures on facsimile or email copies will have the same force <br /> and effect as original signatures. <br /> 12. Voluntary Execution. The Parties have been and are each represented by <br /> counsel and have been fully advised regarding the meaning and nature of this Settlement <br /> Agreement and of the provisions, obligations, and releases contained herein. The Parties <br /> acknowledge that they have executed this Settlement Agreement voluntarily and <br /> knowingly. <br /> 13. Governing Law. The Settlement Agreement shall be governed by and <br /> construed in accordance with the laws of the state of Washington without reference to <br /> principles or provisions relating to conflicts of laws. Any dispute or legal action between <br /> arising under this Settlement Agreement or otherwise arising out of or related to the <br /> subject matter of the Claim Forms will be conducted and decided exclusively and solely <br /> by a court in Snohomish County, Washington. The Parties agree and consent to the <br /> exclusive jurisdiction and exclusive venue of any court located in Snohomish County, <br /> Washington. With respect to any dispute regarding, or efforts to enforce, this Settlement <br /> Agreement, the substantially prevailing party shall be entitled to and awarded its costs, <br /> attorneys' fees, and expenses. <br /> 14. Non-Reliance. The Parties agree and acknowledge that in executing this <br /> Settlement Agreement, they have not relied in any way upon representations or <br /> statements not set forth in this Settlement Agreement, and further that they have <br /> independently chosen to enter into this Settlement Agreement without regard to <br /> representations or statements that are not contained herein. The Parties have relied on the <br /> advice and representation of counsel of their own selection and have read and fully <br /> understand this Settlement Agreement, and have been fully advised as to its legal effect. <br /> 15. Entire Agreement. This Settlement Agreement contains the entire <br /> agreement between the Parties with respect to the subject matter hereof. It is agreed that <br /> there are no collateral agreements or representations,written or oral,regarding the subject <br /> matter of this Settlement Agreement that are not contained in this Settlement Agreement. <br /> Any representations, promises, or statements regarding the subject matter of this <br /> Settlement Agreement that are not set forth in this Settlement Agreement are of no force <br /> and effect and have not been relied upon. <br /> 4 <br />
