• <br /> J. The aggregate value to the City of Touchstone's payments and promises under the <br /> purchase and sale agreement(including,without limitation,those listed in Recital G above) is greater <br /> than ninety percent of the appraised fair market value of the Property. <br /> K. The City's real property manager has determined that the disposition of the Property as <br /> provided in the purchase and sale agreement, as amended, is commercially reasonable. <br /> NOW,THEREFORE, IT IS RESOLVED BY THE CITY COUNCIL OF THE CITY OF EVERETT THAT: <br /> 1. Authorization. The Mayor is authorized to execute the Tenth Amendment in <br /> substantially the form provided and is further authorized to execute all other documents and <br /> instruments, in the form as approved by the Office of the City Attorney, necessary to close the <br /> transaction and transfer the Property to Touchstone. <br /> 2. Findings.
