Your organization must have a Data Universal Numbering System (DUNS) number <br /> obtained from the firm Dun and Bradstreet (D&B) (www.dnb.com). A DUNS number <br /> provides a method to verify data about your organization. D&B is responsible for <br /> maintaining unique identifiers and organizational linkages on behalf of the Federal <br /> Government for organizations receiving Federal assistance. <br /> E. The WMD, as the prime awardee, is required by FFATA to report names and total <br /> compensation of the five (5) most highly compensated officers of your organization (as the <br /> subawardee)if: <br /> 1. Your organization (the subawardee), in the preceding fiscal year, received 80 percent or <br /> more of its annual gross revenues from Federal awards and $25,000,000 or more in <br /> annual gross revenues from Federal awards; and <br /> 2. The public does not have access to this information about the compensation of the senior <br /> executives of your organization through periodic reports filed under section 13(a) or <br /> 15(d) of the Securities and Exchange Act of 1934 (15 U.S.C. §§ 78m(a), 78o(d) or <br /> section 6104 of the Internal Revenue Code of 1986. <br /> "Total compensation" for purposes of this requirement generally means the cash and non- <br /> cash value earned by the executive during the past fiscal year and includes salary and bonus; <br /> awards of stock, stock options and stock appreciation rights; and other compensation such as <br /> severance and termination payments, and value of life insurance paid on behalf of the <br /> employee, and as otherwise provided by FFATA and applicable OMB guidance. <br /> F. If(1) in the preceding fiscal year your organization received 80 percent or more of its annual <br /> gross revenues from Federal awards and $25,000,000 or more in annual gross revenues from <br /> Federal awards, and (2) the public does not have access to this information about the <br /> compensation of the senior executives of your organization through periodic reports filed <br /> under section 13(a) or 15(d) of the Securities and Exchange Act of 1934 (15 U.S.C. §§ <br /> 78m(a), 78o(d) or section 6104 of the Internal Revenue Code of 1986, insert the names and <br /> total compensation for the five most highly compensated officers of your organization as <br /> identified in Step 5 of the FFATA Form. <br /> Page 2 of 2 <br /> 96 <br />
