ii. Loaned Property. In the event of dissolution or termination of the <br /> Snohomish County 911, assigned or loaned assets shall be returned to the lending <br /> entity. <br /> iii. Allocation of Liabilities. In the event outstanding liabilities of the <br /> Snohomish County 911 exceed the value of personal and real property and funds <br /> on hand, all Principals shall contribute to retirement of those liabilities in the same <br /> manner as which they would share in the distribution of properties and funds. <br /> c. Notwithstanding the foregoing, this Agreement may not be terminated if <br /> to do so would abrogate or otherwise impair any outstanding obligations of the <br /> Snohomish County 911, unless provision is made for those obligations. <br /> SECTION 21. DISPUTE RESOLUTION. <br /> a. Whenever any dispute arises between a Principal or the Principals or <br /> between the Principals and the Snohomish County 911 (referred to collectively in this <br /> Section as the "parties") under this Agreement which is not resolved by routine meetings <br /> or communications, the parties agree to seek resolution of such dispute by the process <br /> described in this Section, which shall also be binding on Subscribers. <br /> b. The parties shall seek in good faith to resolve any such dispute or concern <br /> by meeting, as soon as feasible. The meeting shall include the President of the <br /> Governing Board, the Executive Director, and a representative(s) of the Principal(s), if a <br /> Principal(s) is involved in the dispute, and/or a person designated by the Subscriber(s), if <br /> a Subscriber(s) is involved in the dispute. <br /> c. If the parties do not come to an agreement on the dispute or concern, any <br /> party may request mediation through a process to be mutually agreed to in good faith <br /> between the parties within 30 days, which may include binding or nonbinding decisions <br /> or recommendations (whichever is mutually agreed to). The mediator(s) shall be <br /> mutually agreed upon and shall be skilled in the legal and business aspects of the subject <br /> matter of this Agreement. The parties shall share equally the costs of mediation and <br /> assume their own costs. <br /> SECTION 22. INSURANCE. <br /> The Governing Board, Executive Director, and Technical Advisory Committees shall <br /> take such steps as are reasonably practicable to minimize the liability of the Participating <br /> 31 <br />
