CITY <br /> FIRST AMENDMENT TO <br /> CITY OF EVERETT COMMUNICATIONS ANTENNA SITE LEASE <br /> THIS FIRST AMENDMENT TO CITY OF EVERETT COMMUNICATIONS ANTENNA SITE LEASE <br /> ("Amendment")is made and entered into on is n vary L4, ,2018("Effective Date"),by and between the <br /> CITY OF EVERETT, a municipal corporation of the stdte of Washington("Lessor"), and T-Mobile West LLC, a <br /> Delaware limited liability company,("Lessee"). <br /> Recitals <br /> The parties hereto recite,declare and agree as follows: <br /> A.Lessor and Lessee entered into a Communications Antenna Site Lease(the"Lease"),dated May 4th,2017 <br /> for Lessee's equipment located at 7410 Olympic Drive,Everett,WA 98203 (the"Site"or"Water Tank"). <br /> B. Lessor and Lessee desire to enter into this Amendment in order to modify and amend certain provisions <br /> of the Lease. <br /> NOW,THEREFORE,in consideration of the mutual covenants and agreements herein contained and other <br /> good and valuable consideration,the receipt and sufficiency of which are hereby acknowledged,Lessor and Lessee <br /> covenant and agree as follows: <br /> 1. SITE. Lessor and Lessee agree to modify the location of Lessee's Site by deleting Exhibit A-1 of the <br /> Lease and replacing it with a revised exhibit("Revised Exhibit A-1"),which is attached hereto and by this reference <br /> incorporated herein,which equipment shall be considered part of the"Site or"Water Tank"under the Lease. <br /> 2. RENT.Lessor waives Lessee's Rent for the period beginning May 1st,2017 through October 15th,2017 <br /> to accommodate Lessee's revisions to construction plans as required by Lessor. Lessor acknowledges and Lessee <br /> agrees that Lessee has not made any Rent payment for this period at the direction of Lessor and Lessee will not be <br /> obligated to make such back payments,nor will Lessee be responsible for any default monies owed as a result of non- <br /> payment for such period. Rent shall commence October 16th, 2017, prorated for at $1,032.26 for the month of <br /> October,2017,and continue as stipulated in Section 4 of the Lease.Lessee shall have thirty(30)days from the date <br /> of full execution of this Amendment to make any Rent payments due to Lessor. <br /> 4. Terms:Conflicts. The terms and conditions of the Lease are incorporated herein by this reference, and <br /> capitalized terms used in this Amendment shall have the same meanings such terms are given in the Lease. Except <br /> as specifically set forth herein,this Amendment shall in no way modify, alter or amend the remaining terms of the <br /> Lease, all of which are ratified by the parties and shall remain in full force and effect. To the extent there is any <br /> conflict between the terms and conditions of the Lease and this Amendment, the terms and conditions of this <br /> Amendment will govern and control. <br /> 5. Authorization.
