m. Reserve Funds. The Executive Board may establish and fund reserve funds to <br /> support operations or capital investments for the PORTAL AGENCY, at levels the Executive <br /> Board determines to be appropriate;provided that general reserve funds may only be used to <br /> support general PORTAL AGENCY operations,maintenance and capital costs and may not be <br /> used in support of developing projects or services that will not be utilized by all Principals; and <br /> provided further, that no Principal shall be required to contribute to special reserves established <br /> exclusively in support of projects or services that the Principal has certified it does not intend to <br /> utilize or make available to its Taxpayers and Licensees. <br /> n. Use of Funds. Consistent with any use imposed on particular funds by statute, <br /> ordinance, contract,this Interlocal Agreement or any bylaws adopted by PORTAL AGENCY, <br /> the PORTAL AGENCY may use any available funds for any purpose authorized by this <br /> Agreement in connection with an authorized project. <br /> SECTION 14. RETAINED AUTHORITY AND RESPONSIBILITY OF <br /> PARTICIPATING AGENCIES. <br /> Each Participating City shall retain the responsibility and authority for its operational <br /> departments and for such equipment and services as are required at its place of operation to <br /> connect to PORTAL AGENCY operations, including but not limited to each Participating City's <br /> computer and data systems managing processes that provide services the Portal delivers (the <br /> City's system of record). Each Participating City shall also retain the responsibility and <br /> authority for managing and maintaining the security and privacy of all data that the Participating <br /> City links to the Portal. Inter-connecting equipment and services will not be included in <br /> PORTAL AGENCY'S budget and operational program, except as the Executive Board may <br /> determine. <br /> SECTION 15. OWNERSHIP OF PROPERTY. <br /> a. Ownership of Property. Excepting the Portal which is owned by the Vendor, all <br /> property both real and personal, as well as intellectual property rights or licenses purchased or <br /> otherwise acquired pursuant to or in connection with this Agreement shall be owned or held in <br /> the name of the PORTAL AGENCY; provided, however,that the Executive Board may convey <br /> ownership of specific property,property or use rights. <br /> b. Loaned Property. If any Participating City provides equipment or furnishings for <br /> PORTAL AGENCY'S use,title to the same shall rest with the respective local entity unless that <br /> equipment or furnishing is acquired by the PORTAL AGENCY. <br /> v. 11.4.13 23 <br />
