property and funds as it deems appropriate, and the apportionment, <br /> determined consistent with the preceding sentence,need not be exact. <br /> ii. Intellectual Property Rights. The Vendor will own, or have rights to, all its <br /> intellectual property per the terms of the Portal Services Contract, including <br /> the right to license the Portal operating system exclusively to the PORTAL <br /> AGENCY, its Principals and Subscribers. The Portal license rights, and all <br /> rights granted relating thereto, terminate with the termination of the Portal <br /> Services Contract. Notwithstanding this termination,the Principals and <br /> Subscribers shall retain the right after termination of the Portal license rights <br /> to acquire any and all information and data, including but not limited to <br /> Taxpayer, Licensee and their respective City data, then currently held by the <br /> Vendor or the PORTAL AGENCY. Upon termination of the Portal <br /> Development and Services Contract or the dissolution of the PORTAL <br /> AGENCY, any and all intellectual property owned by the PORTAL <br /> AGENCY(which excludes the Portal and any other intellectual property <br /> owned by the Vendor)will be transferred in its entirety to Principal with the <br /> largest Population. If said Principal does not agree to accept the intellectual <br /> property owned by the PORTAL AGENCY, it shall then be transferred in its <br /> entirety to the Principal with the next largest population, and so on should <br /> that Principal not agree to accept the intellectual property. If no Principal <br /> agrees to accept the intellectual property,then the Executive Board will <br /> attempt to sell the intellectual property at fair market value and distribute the <br /> proceeds in proper proportion to the current Principals in accordance with <br /> Subsection 19.b.i. <br /> iii. Loaned Property. In the event of dissolution or termination of the PORTAL <br /> AGENCY, assigned or loaned assets shall be returned to the lending entity. <br /> iv. Allocation of Liabilities. In the event outstanding liabilities of the PORTAL <br /> AGENCY exceed the value of personal and real property and funds on hand, <br /> all Principals shall contribute to retirement of those liabilities in the same <br /> manner as which they would share in the distribution of properties and <br /> funds. <br /> c. Notwithstanding the foregoing,the Agreement may not be terminated if to do so <br /> would abrogate or otherwise impair any outstanding obligations of the PORTAL AGENCY, <br /> unless provision is made for those obligations. <br /> SECTION 20. DISPUTE RESOLUTION. <br /> a.
