CITY LICENSE TO USE CITY PROPERTY THIS LICENSE AGREEMENT (the "License"), between the City of Everett as Grantor(the "City) and First Presbyterian Church, 2936 Rockefeller Ave, Everett, WA 98201 as the Grantee ("FPC"),relates to the city owned parking lot areas north and east of the Wall Street Building located at 2930 Wetmore Ave, Everett, WA(the "Property"). RECITALS A. FPC desires to utilize the property for vehicle parking use during an event at the church to be held on Saturday March 24, 2018. ("Event"). B. The City is willing to grant FPC authority to use the City's property upon certain terms and conditions. AGREEMENT In consideration of mutual benefits and other good and valuable consideration,the receipt and sufficiency of which is hereby expressly acknowledged,the City licenses FPC to use the Property upon the following terms and conditions: Section 1. LICENSED PROPERTY. The specific area of property owned by the City, and subject to this License is depicted in Exhibit A, attached hereto and incorporated herein. Section 2. TERM. This License shall be effective beginning at 9:00 A.M. and shall expire at 10:00 P.M. on March 24, 2018, unless terminated earlier per Section 7,below. Section 3. Intentionally Omitted. Section 4. AUTHORIZED USE. FPC may only use the Property for the purpose of vehicle parking in conjunction with the Event. Section 5. INDEMNIFICATION. FPC hereby agrees to defend, indemnify and hold the City harmless from any and all Claims for injury to people or damage to property arising out of or related to this License. This defense and indemnification obligation shall survive any termination,revocation or expiration of this Agreement. For the purpose of this Section 4,the following terms shall have their specified meaning. "City" means the City, its officers, employees and agents. "Claims"means any loss, injury, demand, settlement and lawsuit, and further includes any and all reasonable page 1
