are unable to reach agreement as to whether the test of <br /> Section 15 is satisfied, the parties agree to resolve <br /> such question by arbitration. The City shall select an <br /> arbitrator who is knowledgeable in cable communications <br /> matters and Franchisee shall select a similarly qualified <br /> person. The two arbitrators selected by the parties <br /> shall select a third arbitrator. The decision of the <br /> majority of the arbitrators shall be binding and con- <br /> clusive upon the parties for purposes of Section 15. <br /> Section 16. Leased Access Channel . <br /> The Franchisee is encouraged to make available a <br /> channel for any commercial use as soon as feasible in the <br /> spirit of Section 612 of the Act. Should the Franchisee <br /> increase channel capacity to 36 or more active channels, the <br /> Franchisee will designate channels for leased use consistent <br /> with the requirements of the Act. <br /> Section 17. Public Municipal Buildings. <br /> The Franchisee shall, as a part of its commitment to <br /> social responsiveness to the needs of all of the citizens of <br /> Everett, provide without charge, one outlet of Basic Service <br /> including a Converter, if required, to Public Municipal <br /> Buildings designated by the City subject to the condition <br /> that each building be within one hundred fifty (150) feet <br /> of Franchisee' s existing system. <br /> Section 18. Emergency Override. <br /> Franchisee will make provision for emergency alert to <br /> override the audio portion of all television signals distri- <br /> buted by Franchisee. Control of these emergency override <br /> facilities shall be the responsibility of the City. Franchisee <br /> shall install such system within twelve (12 ) months of the <br /> date that equipment exists that is technically compatible <br /> with the transmission facilities of the Franchisee ' s system. <br /> Franchisee shall also permit the City to use the Community <br /> Programming Channel for emergency announcements. <br /> Section 19. Emergency Power. <br /> Franchisee shall provide a standby power system to <br /> automatically activate equipment at the headend and hubs, if <br /> applicable, in event of a primary electrical failure. <br /> Section 20. Parental Control Devices. <br /> Franchisee will make available suitable devices for <br /> limiting access to cable channels as provided in the Act. <br /> Section 21. Construction Standards. <br /> All facilities constructed under this Ordinance shall <br /> be placed and maintained at such places and positions in or <br /> upon such streets, avenues, alleys and public places as <br /> shall not interfere with the free passage of traffic and the <br /> free use of adjoining property, and shall conform to the <br /> National Electric Code , State of Washington, and City <br /> regulations pertaining to such construction. <br /> Section 22. Construction Notification. <br /> The City may establish minimum requirements for advance no- <br /> tification to residents adjacent to proposed construction areas. <br /> Section 23.
