are unable to reach agreement as to whether the test of Section 15 is satisfied, the parties agree to resolve such question by arbitration. The City shall select an arbitrator who is knowledgeable in cable communications matters and Franchisee shall select a similarly qualified person. The two arbitrators selected by the parties shall select a third arbitrator. The decision of the majority of the arbitrators shall be binding and con- clusive upon the parties for purposes of Section 15. Section 16. Leased Access Channel . The Franchisee is encouraged to make available a channel for any commercial use as soon as feasible in the spirit of Section 612 of the Act. Should the Franchisee increase channel capacity to 36 or more active channels, the Franchisee will designate channels for leased use consistent with the requirements of the Act. Section 17. Public Municipal Buildings. The Franchisee shall, as a part of its commitment to social responsiveness to the needs of all of the citizens of Everett, provide without charge, one outlet of Basic Service including a Converter, if required, to Public Municipal Buildings designated by the City subject to the condition that each building be within one hundred fifty (150) feet of Franchisee' s existing system. Section 18. Emergency Override. Franchisee will make provision for emergency alert to override the audio portion of all television signals distri- buted by Franchisee. Control of these emergency override facilities shall be the responsibility of the City. Franchisee shall install such system within twelve (12 ) months of the date that equipment exists that is technically compatible with the transmission facilities of the Franchisee ' s system. Franchisee shall also permit the City to use the Community Programming Channel for emergency announcements. Section 19. Emergency Power. Franchisee shall provide a standby power system to automatically activate equipment at the headend and hubs, if applicable, in event of a primary electrical failure. Section 20. Parental Control Devices. Franchisee will make available suitable devices for limiting access to cable channels as provided in the Act. Section 21. Construction Standards. All facilities constructed under this Ordinance shall be placed and maintained at such places and positions in or upon such streets, avenues, alleys and public places as shall not interfere with the free passage of traffic and the free use of adjoining property, and shall conform to the National Electric Code , State of Washington, and City regulations pertaining to such construction. Section 22. Construction Notification. The City may establish minimum requirements for advance no- tification to residents adjacent to proposed construction areas. Section 23. Safety Requirements.
