3 . Return to corporate officials or members fees , - .dues <br /> or service charges originally contributed by them and surplus to ' <br /> the purposes for which collected; <br /> 4 . Defend any corporate official , or former corporate <br /> official (including employees) in any legal or adminstrative <br /> proceeding in which he or she is made a party by reason of his or <br /> her position or former corporate position, or at the public <br /> corporation ' s option, indemnify such corporate official or former <br /> corporate official for expenses actually and necessarily incurred <br /> by him or her in connection with such defense, except as to <br /> matters involving willful misconduct in the performance of duty; <br /> and <br /> 5 . Sell assets for a consideration greater than their <br /> reasonable market value or acquisition costs , or charge for <br /> services more than the expense of providing them, or otherwise <br /> secure an increment in a transaction, or carry out any other <br /> transaction or activity, as long as such gain is not the public <br /> corporation' s general object or purpose and is applied to or <br /> expended upon municipal and community services and projects and <br /> activities as aforesaid. <br /> Section . 090 Application for charter. <br /> A. To initiate proceedings tocharter a public corporation <br /> under this chapter, any person or group of persons shall apply in <br /> duplicate to the City Clerk therefor. The application shall set <br /> forth: <br /> 1 . The proposed name of the public corporation; <br /> 2 . The character or period of its duration; <br /> 3 . The precise purposes or functions to be performed; <br /> 4 . The charter requested; <br /> 5 . The names and addresses of persons nominated as the <br /> initital corporate officials; <br /> 6 . The funds and other assets necessary to undertake <br /> the activities or functions contemplated within the coming year; <br /> the anticipated sources of such funds and assets; and any other <br /> supporting data the applicants deem appropriate and necessary to <br /> evaluate their application; and <br /> 7 . The name and address of each applicant. <br /> The applicant (s) may amend, correct or supplement the application <br /> during review and processing thereof. No applicant shall be an <br /> official or employee of the city. <br /> B. One copy of the application shall be filed with the City <br /> Clerk as a public record open to public inspection and one copy <br /> shall be forwarded to a responsible city official designated by <br /> the Mayor. To allow for public inspection and review, at least <br /> fourteen days shall elapse between filing of an application and <br /> issuance of a charter. <br /> Section . 100 Review of application. <br /> The Mayor ' s designee shall review all applications to <br /> determine the following matters , refer to the Mayor his findings , <br /> and make recommendations with respect to: <br /> - 8 - <br />
