BASIC TERMS AND CONDITIONS <br /> THIS DOCUMENT of Basic Terms and Conditions, hereinafter referred to as the "Agreement," <br /> is entered into by and between Snohomish County, a political subdivision of the State of <br /> Washington, on behalf of its Human Services Department, hereinafter referred to as "County," <br /> and City of Everett, hereinafter referred to as "Agency." <br /> I. PURPOSE <br /> It is the purpose of this document to establish appropriate basic terms and conditions <br /> which may be incorporated by reference into subsequent contracts between the County <br /> and the Agency for social and health services funded in whole or in part by or through the <br /> County. This document has no independent force or effect. <br /> II. DEFINITIONS <br /> As used throughout this Agreement and any Contract incorporating this Agreement, <br /> unless specified otherwise, the following terms shall have the meanings set forth below: <br /> A. "Acquisition costs" shall mean that amount expended for property, excluding interest, <br /> plus, in the case of property acquired with a trade-in, the book value (acquisition cost <br /> less the amount depreciated through the date of trade-in) of the property traded in. <br /> Property which was expended when acquired has a book value of zero when traded <br /> in. <br /> B. "Agency" shall mean the entity that is a party to this Agreement, and includes the <br /> Agency's officers, directors, trustees, employees and/or agents unless otherwise <br /> stated in this Agreement. For purposes of this Agreement, neither the Agency nor its <br /> officers, directors, trustees, employees or agents shall be considered an employee of <br /> the County. <br /> C. "Assignment" shall mean the act of transferring the rights and obligations of a party <br /> under this Agreement or any Contract to another not party to this Agreement or any <br /> Contract. <br /> D. "BARS" shall mean the "Budgeting, Accounting, and Reporting System for Counties <br /> and Cities and Other Local Governments," as now or hereafter amended, issued by <br /> the Office of the State Auditor, State of Washington, and the BARS Manual <br /> Supplements issued by state agencies. <br /> E. "CFR" shall mean the Code of Federal Regulations. All references in this Agreement <br /> or any Contract to the CFR shall include any successor, amended, or replacement <br /> regulation. <br /> F. "Client" shall mean an individual who is eligible for or receiving services provided by <br /> the Agency in connection with any Contract. <br /> G. "Confidential Information" shall mean information that is exempt from disclosure to the <br /> public or other unauthorized persons under Chapter 42.56 RCW or other federal or <br /> state laws.
