CITY 404Pwe EL/El2ETT AGREEMENT (2018 EVERETT JULY FOURTH FOUNDATION FIREWORKS DISPLAY) This Agreement is dated for reference purposes March 14, 2018, and is between the CITY OF EVERETT(the"City") and EVERETT JULY FOURTH FOUNDATION (the "Foundation"). RECITALS For many years,the Foundation been central in providing the Fourth of July fireworks display. The Foundation undertakes fundraising and contracts with the fireworks vendor. The City has traditionally committed that, if the Foundation's fundraising is insufficient to pay to the fireworks vendor,then the City will make up the difference. The purpose of this agreement is to continue that arrangement for 2018. AGREEMENT The parties agree as follows: 1. The Foundation will undertake fundraising to raise money for the 2018 fireworks. The City may, at its discretion, support the fundraising efforts. 2. The Foundation will contract with a fireworks vendor for the 2018 fireworks display. The contract amount will not exceed $60,000. The Foundation will allow the City to review the vendor contract before it is signed by the Foundation. The Foundation will manage the contract. 3. If the Foundation's fundraising is insufficient to pay the 2018 fireworks vendor contract amount, the City will provide funding in an amount equal to the insufficiency. If this occurs,the City may elect to pay such amount to the Foundation or directly to the vendor. 4. The Foundation(or the fireworks vendor, as appropriate)will obtain all permits necessary for the fireworks display. 5. This agreement is the complete agreement of the parties regarding the 2018 fireworks. This agreement may only be amended by an amendment signed by the Mayor and an authorized representative of the Foundation. The City contact for this agreement is Carol Thomas at(425)257-7101.
