These information streams begin <br /> shortly after an earthquake starts and update as the earthquake develops. <br /> 4. The ShakeAlert Materials licensed under this agreement includes an application currently <br /> referred to as UserDisplay that may run on a LICENSEE's computer and presents visual and <br /> audio information about the earthquake and when and how strong shaking will arrive at the <br /> user's location. <br /> AGREEMENT <br /> For good and valuable consideration,the receipt and sufficiency of which are hereby <br /> acknowledged,the parties agree as follows: <br /> 1. License Grant. USGS grants LICENSEE, a non-exclusive, non-transferable, revocable <br /> without cause license to use ShakeAlert Materials provided that: <br /> a. LICENSEE shall not advertise, sell, copy, modify, reverse engineer, publish, rent, <br /> lease, loan, sublicense, or distribute ShakeAlert Materials or derived products to <br /> any third-party or public without the prior written consent of USGS; <br /> b. Access to the ShakeAlert Materials shall be governed by terms and conditions of <br /> this agreement. Access provided by the LICENSEE of ShakeAlert Materials, as an <br /> Alerting Service provider that receives ShakeAlert data, processes, triggers <br /> actions and redistributes as a service shall only be to a business client. <br /> c. LICENSEE shall not interfere with or disrupt USGS or ShakeAlert servers or networks or <br /> servers or networks connected to them, or disobey any requirements, procedures, <br /> policies or regulations of ShakeAlert servers or networks; <br /> d. LICENSEE is limited to five (5) concurrent connections to ShakeAlert servers <br /> unless granted additional connections, in writing, by USGS; and <br /> e. LICENSEE may only charge client(s) a nominal fee, not in excess of actual cost <br /> incurred by LICENSEE, and may only use ShakeAlert Materials for the fields of use <br /> identified in Appendix A. <br /> 2. Publication <br /> 2.1 The name of the USGS or any of its trademarks and trade names shall not be used in <br /> any publications, advertisements, solicitation or endorsements without its prior written <br /> consent. <br /> 2.2 LICENSEE must obtain prior written approval from the USGS for any public <br /> information releases which refer to the Department of the Interior, the USGS, its <br /> employees, or ShakeAlert Materials. <br /> ShakeAlert License Agreement and Terms of Service -3/15/18 Page 2 of 6 <br />
