10. Service Provider Reports: The Service Provider shall provide and make available to the City of Everett certain <br /> reports and reporting capabilities as described in this section. .. Service Provider includes a robust set of reporting <br /> capabilities. City of Everett will be able to report on user activity on the system including assignments, completions, and <br /> last login time. Service Provider system provides for role permissions which prohibit an administrative user from <br /> marking completion of courses on behalf of user. Service Provider system also keeps track of user timing in a course, <br /> but this data is not available in customer reporting. If City of Everett requires data for an individual user, they can <br /> request through Customer Support. <br /> 11. Contract Audit: Service Provider will keep accurate and complete financial records and accounts pertaining to <br /> the invoicing and payment for the performance of the Services. No more than once per calendar year, the City <br /> may audit Service Provider's accounting records, the Service Provider shall allow the City of Everett to conduct a <br /> financial audit conformance including contract terms. The City of Everett may perform this audit or contract with a <br /> third party at its discretion at the City's expense, and subject to no conflict of interest between the Service <br /> Provider and the third-party auditor. Such reviews shall be conducted with at least 30 days advance written <br /> notice and shall not unreasonably interfere with the Service Provider's business. <br /> 12. Sub-contractor Disclosure: The Service Provider shall identify all of its strategic business partners related to <br /> services provided under this contract, including but not limited to, all subcontractors or other entities or individuals <br /> who may be a party to a joint venture or similar agreement with the Service Provider, who will be involved in any <br /> application development and/or operations. <br /> 13. Operational Metrics: The Service Provider and the City of Everett shall reach agreement on operational metrics <br /> and document said metrics in Schedule D Service Level Agreement. Examples include but are not limited to: <br /> a) Advance notice of major upgrades <br /> b) System availability/uptime guarantee/agreed-upon maintenance downtime <br /> c) Recovery Time Objective/Recovery Point Objective <br /> d) Security Vulnerability Scanning <br /> 14. Customer Backup: Service Provider's system includes a robust set of reporting capabilities. Reports can be ad <br /> hoc or scheduled and output can be delivered in CSV form for loading into City of Everett internal systems. <br /> Service Provider also supports a robust set of API's which can be used by City of Everett. <br /> TSL Client Agreement with City of Everett 9 Rev P—Revised Date 04/10/2018 <br />
