CITY AMENDMENT NO. 2 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND MURRAYSMITH, (Formerly MURRAY, SMITH & ASSOCIATES INC.) Legion Golf Course Stormwater Detention Project, UP3620 The City and Murraysmith agree to amend and modify their professional services agreement dated August 25, 2015 (the"Agreement") as follows: 1. Part 1 (Paragraph 1 of Exhibit A): The work included in Exhibit C-2 of this amendment is added to the Scope of Work described in Exhibit C of the Agreement and Exhibit C-1. 3. Part 4 (Paragraph 4B of Exhibit A)is modified to read as follows: The Contractor shall be paid such amounts and in such manner as described in Exhibit D of the Agreement, Exhibit D-1 and Exhibit D-2 of this amendment. 4. Part 4 (Paragraph 4C of Exhibit A) References to Exhibit D in this paragraph shall be replaced with "Exhibit D, Exhibit D-1 and Exhibit D-2 of Amendment No. 2". 5. Part 4(Paragraph 4D of Exhibit A)is revised to read as follows: Maximum Total Compensation Amount: $884,744. 6. All terms, conditions and provisions of the Agreement remain in full force and effect except as expressly modified by this Amendment. 10.
