CITY <br /> LICENSE TO USE CITY PROPERTY <br /> THIS LICENSE AGREEMENT(the"License"), between the City of Everett as <br /> Grantor(the"City")and C2C, PO Box 809,WA 98206 as the Grantee ("C2C"),relates to <br /> the city owned parking lot area north of the Wall Street Building located at 2930 <br /> Wetmore Ave, Everett, WA(the"Property"). <br /> RECITALS <br /> A. C2C desires to utilize the property for activities related to the Cruisin <br /> Colby Event ("Event"). <br /> B. The City is willing to grant C2C authority to use the City's property upon <br /> certain terms and conditions. <br /> AGREEMENT <br /> In consideration of mutual benefits and other good and valuable consideration,the receipt <br /> and sufficiency of which is hereby expressly acknowledged,the City licenses C2C to use <br /> the Property upon the following terms and conditions: <br /> Section 1. LICENSED PROPERTY. The specific area of property owned by the <br /> City, and subject to this License is depicted in Exhibit A,attached hereto and <br /> incorporated herein. <br /> Section 2. TERM. This License shall be effective beginning at 8:00 A.M. May 27, <br /> 2018,and shall expire at 7:00 A.M. on May 29,2018,unless terminated earlier per <br /> Section 7,below. <br /> Section 3. Intentionally Omitted. <br /> Section 4. AUTHORIZED USE. C2C may only use the Property for activities <br /> related to the Cruisin Colby Event. <br /> Section 5. INDEMNIFICATION. C2C hereby agrees to defend, indemnify and <br /> hold the City harmless from any and all Claims for injury to people or damage to <br /> property arising out of or related to this License. This defense and indemnification <br /> obligation shall survive any termination, revocation or expiration of this Agreement. For <br /> the purpose of this Section 4,the following terms shall have their specified meaning. <br /> "City"means the City, its officers, employees and agents.
