CITY LICENSE TO USE CITY PROPERTY THIS LICENSE AGREEMENT(the"License"), between the City of Everett as Grantor(the"City")and C2C, PO Box 809,WA 98206 as the Grantee ("C2C"),relates to the city owned parking lot area north of the Wall Street Building located at 2930 Wetmore Ave, Everett, WA(the"Property"). RECITALS A. C2C desires to utilize the property for activities related to the Cruisin Colby Event ("Event"). B. The City is willing to grant C2C authority to use the City's property upon certain terms and conditions. AGREEMENT In consideration of mutual benefits and other good and valuable consideration,the receipt and sufficiency of which is hereby expressly acknowledged,the City licenses C2C to use the Property upon the following terms and conditions: Section 1. LICENSED PROPERTY. The specific area of property owned by the City, and subject to this License is depicted in Exhibit A,attached hereto and incorporated herein. Section 2. TERM. This License shall be effective beginning at 8:00 A.M. May 27, 2018,and shall expire at 7:00 A.M. on May 29,2018,unless terminated earlier per Section 7,below. Section 3. Intentionally Omitted. Section 4. AUTHORIZED USE. C2C may only use the Property for activities related to the Cruisin Colby Event. Section 5. INDEMNIFICATION. C2C hereby agrees to defend, indemnify and hold the City harmless from any and all Claims for injury to people or damage to property arising out of or related to this License. This defense and indemnification obligation shall survive any termination, revocation or expiration of this Agreement. For the purpose of this Section 4,the following terms shall have their specified meaning. "City"means the City, its officers, employees and agents. "Claims"means any loss, page 1
