CITY OF EVERETT LODGING TAX GRANT AGREEMENT AMENDMENT NO. 1 THIS AMENDMENT made and entered into on this 22nd day of May , 2018, by and between the City of Everett, a municipal corporation under the laws of the State of Washington, herein after referred to as the"City,"and the Downtown Everett Association,whose address is PO Box 748, Everett, Washington 98201, hereinafter referred to as the"Grant Recipient." WHEREAS, the City has Lodging Tax revenue to distribute to qualified recipients to conduct tourism promotion; and WHEREAS,the City and Grant Recipient entered into a lodging tax grant agreement in 2017 for a pedestrian wayfinding signage project for $25,000 (the "Agreement"), but Grant Recipient's project was delayed until 2018; and WHEREAS,the City has agreed to extend the Agreement for one year; NOW, THEREFORE,the parties herein do mutually agree as follows: 1. Section 3 of the Agreement is amended to read as follows: Time of Beginning and Completion of Performance. This Agreement shall commence as of the date of execution of this Agreement and all Work shall be completed by the thirty-first(31st) day of December,2018. 2. All references in the Agreement to completing the pedestrian wayfinding signage project in 2017 are amended to 2018. 3. The Grant Recipient must also fill out and return the attached"Everett or Tourism Facility Lodging Tax Expenditure Report Worksheet 4. Except as amended by this Amendment,the Agreement remains in full force and effect. IN WITNESS WHEREOF, the City and Grant Recipient have executed this Amendment as of the date first above written.
