EXHIBIT A—SCOPE OF WORK <br /> Professional services to be provided by FlowWorks Inc. include: <br /> 1. Retain the City's historical sewer monitor and rain gauge data that was associated with <br /> SFE Global's contract with the City. Historical data consists of sewer monitor and rain <br /> data since January 2013. <br /> 2. Receive automatic daily uploads of precipitation data from the City's rain gauge network. <br /> Post the data promptly. The City anticipates approximately 8 to 10 rain gauge sites will <br /> be managed. <br /> 3. Make available for the City's use, the FlowWorks online functions and tools related to <br /> data access, retrieval, charts, calculation tools, summary reports and rainfall analysis <br /> applications such as IDF charts and Isohyetal mapping. <br /> 4. Protection of Data. <br /> a) Platform Up-time: FlowWorks provides a 98%up-time guarantee (subject to the <br /> Limited Liability in Section 6 below). <br /> b) Support Ticket Response: FlowWorks guarantees to respond to all support <br /> inquiries within 24 hours (or next business day). <br /> c) FlowWorks Data Security: FlowWorks is committed to keeping City data safe <br /> and secure. FlowWorks services and applications are hosted on the Microsoft <br /> Azure platform providing best-in-class safeguards for FlowWorks and the City. <br /> d) Login Credentials: To the extent that the City is given Login Credentials, City <br /> shall require that all authorized users keep Login Credentials strictly confidential <br /> and not share such information with any unauthorized person. City is responsible <br /> for maintaining the confidentiality of Login Credentials, and for any use that <br /> occurs under such Login Credentials. <br /> e) Non-Disclosure of Information; City information is confidential and proprietary <br /> information to the City. FlowWorks acknowledges that it will have access to the <br /> City's data in the course of providing FlowWorks Services and agrees to hold <br /> City data in confidence and not release or give access to City data to any third <br /> party unless instructed by the City. FlowWorks will not provide data to any third <br /> parties, other than for the performance of this agreement. FlowWorks may retain <br /> City's data for the purposes of research and analysis and to aggregate it with that <br /> of other FlowWorks customers for statistical analysis,trends, or other industry <br /> related purposes so long as such use does not result in the identification of the <br /> City. <br /> f) Data Back Up: Although City data is routinely backed up, FlowWorks does not <br /> make any guarantees about data backup. It is the User's responsibility to take all <br />
