The District and the City are also referred <br /> to herein individually as "Party" and collectively as "Parties". <br /> WHEREAS, the District is the owner of certain lands and premises situated in the <br /> County of Snohomish, State of Washington, legally described on attached and <br /> incorporated Exhibit "A" ("Property"). <br /> WHEREAS, the City is desirous of acquiring certain rights and privileges across, <br /> over, under, upon and through the Property for the purposes related to the purpose of <br /> constructing, reconstructing, operating, maintaining and repairing a traffic safety signaling <br /> system. <br /> NOW, THEREFORE, in consideration of mutual benefits to be derived and in <br /> consideration of the performance of the covenants, terms and conditions hereinafter set <br /> forth, the District and the City agree as follows: <br /> 1. Traffic Safety Signaling Easement. The District, for good and valuable <br /> consideration, receipt of which is hereby acknowledged, hereby conveys and grants to <br /> the City a non-exclusive easement ("Easement") across, along, in, upon and under upon <br /> the portion of Property legally described on attached and incorporated Exhibit "B" <br /> ("Easement Area") for the purpose of constructing, reconstructing, operating, maintaining <br /> and repairing a traffic safety signaling system; and including all appurtenances attached <br /> thereto, together with the right of ingress to and egress from adjacent property of the <br />
