1 Compensation for the Board members, and the expenses of operation of the <br /> 2 Board, shall be shared by the Contracting Agency and Contractor in <br /> 3 accordance with the following: <br /> 4 <br /> 5 1. The Contracting Agency will compensate directly the wages and <br /> 6 travel expense for its selected member. <br /> 7 <br /> 8 2. The Contractor shall compensate directly the wages and travel <br /> 9 expense for its selected member. <br /> 10 <br /> 11 3. The Contracting Agency and Contractor shall share equally in the <br /> 12 third member's wages and travel expense, and all of the operating <br /> 13 expenses of the Board. These equally shared expenses shall be <br /> 14 billed to and paid by the Contracting Agency. The Contractor's share <br /> 15 will be deducted from monies due or coming due the Contractor. <br /> 16 <br /> 17 4. The Contracting Agency, through the Engineer, will provide <br /> 18 administrative services, such as conference facilities and secretarial <br /> 19 services, to the Board and the Contracting Agency will bear the costs <br /> 20 for this service. <br /> 21 <br /> 22 The Contracting Agency and Contractor shall indemnify and hold harmless the <br /> 23 Board Members from and against all claims, damages, losses and expenses, <br /> 24 including but not limited to attorney's fees arising out of and resulting from the <br /> 25 actions and recommendations of the Board. <br /> 26 <br /> 27 Disputes ReviewBoardProcedures <br /> 28 <br /> 29 Section 1-09.11(1)B is deleted and replaced with the following: <br /> 30 <br /> 31 (August 2, 2010 WSDOT GSP) <br /> 32 The Board, the Contracting Agency, and the Contractor shall develop by <br /> 33 agreement the Board's rules of operation and procedures to be followed for the <br /> 34 Project. The Agreement shall include the frequency of the Board's visits to the <br /> 35 Project and its interactions with the Contracting Agency and the Contractor to <br /> 36 keep abreast of the construction development and potential disputes. <br /> 37 <br /> 38 In developing the Agreement, the parties shall take into consideration their <br /> 39 respective duties and responsibilities set forth in the"Scope of Work"section of <br /> 40 their agreements, which is included in the Appendix of these Special <br /> 41 Provisions. <br /> 42 <br /> 43 The parties may also consider the "Suggested Administrative Procedures" for <br /> 44 the Board's operation included in their agreements, which is included in the <br /> 45 Appendix of these Special Provisions. These Procedures express, in general <br /> 46 terms, the policy for the creation and operation of the Board and are intended <br /> 47 to supplement the Special Provisions to the extent that no conflict with such <br /> 48 provisions is created. <br /> 49 <br /> 50 No dispute shall be referred to the Board unless the Contractor has complied <br /> 51 with the procedures of Section 1-04.5.
