1 Compensation for the Board members, and the expenses of operation of the 2 Board, shall be shared by the Contracting Agency and Contractor in 3 accordance with the following: 4 5 1. The Contracting Agency will compensate directly the wages and 6 travel expense for its selected member. 7 8 2. The Contractor shall compensate directly the wages and travel 9 expense for its selected member. 10 11 3. The Contracting Agency and Contractor shall share equally in the 12 third member's wages and travel expense, and all of the operating 13 expenses of the Board. These equally shared expenses shall be 14 billed to and paid by the Contracting Agency. The Contractor's share 15 will be deducted from monies due or coming due the Contractor. 16 17 4. The Contracting Agency, through the Engineer, will provide 18 administrative services, such as conference facilities and secretarial 19 services, to the Board and the Contracting Agency will bear the costs 20 for this service. 21 22 The Contracting Agency and Contractor shall indemnify and hold harmless the 23 Board Members from and against all claims, damages, losses and expenses, 24 including but not limited to attorney's fees arising out of and resulting from the 25 actions and recommendations of the Board. 26 27 Disputes ReviewBoardProcedures 28 29 Section 1-09.11(1)B is deleted and replaced with the following: 30 31 (August 2, 2010 WSDOT GSP) 32 The Board, the Contracting Agency, and the Contractor shall develop by 33 agreement the Board's rules of operation and procedures to be followed for the 34 Project. The Agreement shall include the frequency of the Board's visits to the 35 Project and its interactions with the Contracting Agency and the Contractor to 36 keep abreast of the construction development and potential disputes. 37 38 In developing the Agreement, the parties shall take into consideration their 39 respective duties and responsibilities set forth in the"Scope of Work"section of 40 their agreements, which is included in the Appendix of these Special 41 Provisions. 42 43 The parties may also consider the "Suggested Administrative Procedures" for 44 the Board's operation included in their agreements, which is included in the 45 Appendix of these Special Provisions. These Procedures express, in general 46 terms, the policy for the creation and operation of the Board and are intended 47 to supplement the Special Provisions to the extent that no conflict with such 48 provisions is created. 49 50 No dispute shall be referred to the Board unless the Contractor has complied 51 with the procedures of Section 1-04.5.
