INTERLOCAL AGREEMENT <br /> BETWEEN THE CITY OF EVERETT <br /> AND THE EVERETT PUBLIC FACILITIF,S DISTRICT <br /> AMENDING THE EVENTS CENTER GROUND LEASE <br /> This Interlocal Agreement(Agreement)is made and entered into this day of August, <br /> 2018,by and between the CITY OF EVRETT,a Washington municipal corporation(the"City") <br /> and the EVERETT PUBLIC FACILITIES DISTRICT, a public facilities district of the State <br /> of Washington(the"District"). <br /> RECITALS <br /> • <br /> WHEREAS, the City Council of the City, by Ordinance No.2511-01 and Resolution <br /> No. 5030, effective on April 10, 2001, formed the District and approved its governing charter, <br /> pursuant to District granted by RCW ch.35. 57; and <br /> WHEREAS, RCW chs. 35.59 and 39.34 authorizes public agencies to enter into <br /> agreements for cooperative action; and <br /> WHEREAS, the District was formed by the City for the specific purpose of acquiring, <br /> constructing, owning,remodeling,maintaining,equipping,re-equipping,repairing,financing,and <br /> operating (either directly or by contract) a multi-purpose regional special events center (the <br /> "Events Center"); and <br /> WHEREAS, the City and the District entered into a Ground Lease related to the Events <br /> Center on February 28,2002 (the"Ground Lease"); and <br /> WHEREAS,the City and the District amended the Ground Lease pursuant to an Interlocal <br /> Agreement dated January 24,2007 ("First Amendment"); and <br /> WHEREAS, the City and the District desire to amend the provisions of Article 1, Section <br /> 1.2 Lease Term to extend the permitted term for an additional five (5)-year period. <br /> NOW, THEREFORE, IN CONSIDERATION OF TIM MUTUAL COVENANTS <br /> HEREIN CONTAINE SIF, THE CITY AND THE DISTRICT HEREBY RESOLVE TO <br /> AMEND THE GROUND LEASE AS FOLLOWS: <br /> SECTION 1. Article 1, Section 1.2, shall be amended to read as follows (additions are <br /> underscored and deletions are shown as stricken text): <br /> Section 1.2 Lease Term. All obligations of Lessor and Lessee hereunder, other than the <br /> payment of Rent by Lessee which shall commence on December 31,2006, shall be binding on the <br /> parties upon the execution of this Lease (the "Effective Date").
