During this warranty period,to the extent that the Customer pays the corresponding <br /> Maintenance fees on a timely fashion,the Customer will identify and Gtechna will <br /> resolve any problems relating to the Software,per the Gtechna Support Service <br /> Agreement. <br /> THE FOREGOING WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES AND <br /> CONDITIONS, EXPRESSED OR IMPLIED,INCLUDING,BUT NOT LIMITED TO <br /> THOSE CONCERNING MERCHANTABILITY. <br /> 5. USE OF SOFTWARE <br /> The Customer must follow the instructions found in the Documentation relating to the <br /> proper use of the Software. <br /> 6. NON TRANSFERABILITY <br /> Neither this Agreement nor any rights or licenses granted hereunder may be assigned or <br /> delegated without the prior written consent of Gtechna. Any such assignment or <br /> delegation in breach of this undertaking is void and results in the immediate termination <br /> of this Agreement. <br /> 7. TERMINATION <br /> If the Customer breaches any of the terms and conditions of this Agreement or refuses or <br /> neglects to pay the applicable license fees, Gtechna will have the right to terminate this <br /> Agreement,but only after providing notice to the Customer and providing the Customer <br /> with the cure period provided in the Professional Services Agreement. <br /> 8. GOVERNING LAW <br /> This Agreement, its construction,performance, scope,validity and effects are governed <br /> and will be construed in accordance with the laws applicable and in force in the State of <br /> Washington,USA. <br /> 9. VENUE <br /> The parties agree, for any claim or judicial proceedings for whatever reason relating to <br /> this Agreement to designate the State of Washington, as the appropriate venue for the <br /> hearing of these claims or judicial proceedings,to the exclusion of any other judicial <br /> district or jurisdiction that may have the right to hear such dispute. <br /> 10. SCOPE OF AGREEMENT <br /> This Agreement binds the parties thereto as well as their legal representatives.
