5.2 Furnishing and Installation of Software [Vendor] shall furnish and properly install current versions of the Software as of day of installation. [Vendor] shall provide at least two sets of current documentation and manuals for the Software. One copy shall be a reproduction master or an electronic file in either MS Office or Adobe Acrobat PDF format for use by the City in producing operating manuals for internal usage.The vendor shall provide an unlimited license for the City to copy and distribute the documentation for internal use. [Vendor] shall confirm the Software is operable and adequately performs its intended functions by performing tests chosen by[Vendor] to determine the Software's operability both individually and in combination with each other on the City's standard platform in the City's standard operating environment. Acceptance criteria's shall be defined in SOW of Exhibit A. Customer Backup—[Vendor] shall provide Customer a restorable copy of the Customer's database in Microsoft SQL server format as of December 31 of each calendar year. In addition to such end-of-year database copy, [Vendor] shall also,upon Customer written request,provide Customer one mid-year copy of the Customer's database in a restorable Microsoft SQL Server format each calendar year. The restorable Microsoft SQL server database provided to Customer shall be within the extended support phase of the Microsoft Support Lifecycle policy. Single-Sign-On(SSO)—[Vendor] shall provide Customer the capability to establish a session and user authentication service that permits a user to use one set of login credentials from the City of Everett. This must be facilitated through the use of Microsoft Active Directory Federation Services and Windows Azure AD Single Sign-On. 5.3 Preparation and Access For[Vendor] to perform its obligations under this Agreement,City will allow [Vendor] access to its premises as reasonably necessary or appropriate and mutually agreed to during regular City of Everett business hours. 5.4 Ownership of Data [Vendor]acknowledges that the data contained within the database(s)are and will remain the exclusive property of the City. 6 CONFIGURATION AND DEVELOPMENT 6.1 Configuration [Vendor] shall provide services to install and configure the Software in accordance with this Agreement.The specifications and functionality of the Software,the timetable for the work,the budget(including terms of payment), and acceptance criteria and tests are stated herein or attached in the exhibits hereto and incorporated by reference. 6.2 Other Software Development The parties agree that[Vendor] is not developing software for the City,except minor customization consistent with configuration of the[System/Software] software, such as changing City of Everett/Gtechna Software Agreement Page 3 7/25/2018 IL(
