Cinf AMENDMENT NO. 7 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND OTAK,INC. The City and Otak Inc. agree to amend and modify their professional services agreement dated September 16, 2009 (the "Agreement") as follows: 1. The effective date of this Amendment is (month) ea{ ', (day) I2- , (year) 20 ! . 2. The work included in Exhibit A-7 of this amendment is added to the Scope of Work described in Exhibits A and A-lof the Agreement and Exhibit A-2 of Amendment No. 1 and Exhibit A-3 of Amendment No. 2 and Exhibit A-4 of Amendment No. 3, Exhibit A-5 of Amendment No. 4 and Exhibit A-6 of Amendment No. 5. 3. Paragraph 3 is modified to read as follows: This Agreement shall commence as of the date of execution and shall be completed by June 30, 2020. The parties agree that the Agreement has been continuously in effect since September 16, 2009. 4. Paragraph 4(C): References to `Exhibit C" in this paragraph shall be replaced with "Exhibits B, B-2, B-3, B-4, B-5, B-6 and B-7". 5. Paragraph 4(B) is modified to read as follows: The Contractor shall be paid such amounts and in such manner as described in Exhibit B and B-1 of the Agreement, Exhibit B-2 of Amendment No. 1, Exhibit B-3 of Amendment No 2, Exhibit B-4 of Amendment No. 3, Exhibit B-5 of Amendment No. 4, Exhibit B-6 of Amendment No. 5 and Exhibit B-6 of this amendment. 6. Paragraph 4(D) is modified to read as follows: Total compensation, including all services and expenses, shall not exceed a maximum of Three Million, One Hundred Fourty-Nine Thousand, and Twenty- Four Dollars ($3,149,024). 7. All terms, conditions and provisions of the Agreement remain in full force and effect except as expressly modified by this Amendment. 8. Exhibits associated with this Amendment No. 7 are attached herewith.
