The County has, and by this section assumes, no obligation on behalf of the City <br /> to claim any exemption from disclosure under General Rule 31.1. The County <br /> shall not be liable to the City for releasing records not clearly identified by the <br /> City as confidential or proprietary. The County shall not be liable to the City for <br /> any records that the County releases in compliance with this section or in <br /> compliance with an order of a court of competent jurisdiction. <br /> F. Third Party Beneficiary. Nothing contained in this Agreement shall be construed <br /> to create a liability or a right of indemnification by any third party. <br /> G. Assignment/Delegation. Either party may assign nor delegate its rights or <br /> responsibilities under this Agreement to a third party, without the prior written <br /> consent of the other party. Any purported assignment or delegation in violation of <br /> the subsection is void. <br /> H. Severability. The provisions of this Agreement are severable. Any term or <br /> condition of the Agreement or application thereof deemed to be illegal, invalid or <br /> unenforceable, in whole or in part, shall not affect any other term or condition of <br /> the Agreement and the parties' rights and obligations will be construed and <br /> enforced as if the Agreement did not contain the particular provision. <br /> I. Counterparts. This Agreement may be signed in one or more counterparts, each of <br /> which shall be an original for all purposes but all of which taken together shall <br /> constitute only one instrument <br /> J. Authorization. Each party warrants and represents to the other that it has full <br /> power and authority to enter into and perform this Agreement and the person <br /> signing below has been properly authorized and empowered to execute this <br /> Agreement on behalf of the Party for whom they sign. <br /> 11 <br />
