Section 14. Conditions to Closing. The parties hereto agree that a condition precedent to Closing is that Purchaser must receive City Council approval for the transactions described in this Agreement and communicate such approval to Seller. Section 15. Notices. A. Any notice required or permitted to be given hereunder by one party to the other shall be in writing and the same shall be given and shall be deemed to have been served and given if(i) delivered inerson to the address setforth f rth hereinbelow for the party to whom the notice is given, (ii) delivered in person at the Closing (if such party is present at the Closing), (iii) placed in the United States mail, return receipt requested, addressed to such party at the address hereinafter specified, (iv) deposited into the custody of Federal Express Corporation to be sent by Federal Express Overnight Delivery or other reputable overnight carrier for next day delivery,addressed to such party at the address hereinafter specified, or(v)telecopied by facsimile transmission to such party at the telecopy number listed below, provided that such transmission is confirmed by machine generated confirmation on the date of such transmission.
