EXHIBIT D-1 <br /> FORM OF <br /> AMENDMENT TO <br /> DEED OF TRUST <br /> THIS AMENDMENT TO DEED OF TRUST (the"AMENDMENT"), made this day of <br /> 2018, by and among Cocoon House ("Grantor" or "Agency"), a <br /> Washington non-profit corporation, whose address is 2929 Pine Street, Everett, WA 98203, First <br /> American Title Company, a Washington corporation, ("Trustee"), whose address is 2707 Colby <br /> Ave, Suite 601, Everett, WA 98201, and City of Everett, a municipal corporation of the State of <br /> Washington, ("GRANTEE" or "BENEFICIARY"), whose address is 2930 Wetmore Avenue, Suite <br /> 8A, Everett, WA 98201. <br /> WITNESSETH:This Amendment amends the Deed of Trust, dated April 19, 2018, recorded under <br /> Snohomish County Auditor File No. 201804240576, encumbering the real property legally <br /> described on Attachment 1 attached hereto (the "Deed of Trust"). <br /> FOR GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of which is hereby <br /> acknowledged, Grantor and Beneficiary agree as follows: <br /> 1. This Amendment to Deed of Trust is to be attached to and is to become a permanent part of <br /> the Deed of Trust. <br /> 2. Effective as of the date of this Amendment, the term "Note" as used in the Deed of Trust <br /> collectively means: the Promissory Note dated April 19, 2018, made by Cocoon House, a <br /> Washington non-profit corporation, as subsequently amended by the Amendment to <br /> Promissory Note of even date herewith, made by Cocoon House, payable to the order of City <br /> of Everett, a municipal corporation of the State of Washington, as holder. <br /> 3. Effective as of the date of this Amendment to Deed of Trust, the loan evidenced by the Note <br /> is the principal sum of Four Hundred Thousand Dollars ($400,000) on the terms and <br /> conditions set forth herein and in the HOME Agreement, as amended. <br /> 4. Except as amended by this Amendment to Deed of Trust, the provisions of the Deed of Trust <br /> are not changed, altered or amended, and they remain in full force and effect. <br /> 5.
