University of Washington and Cascadia College 9/19/2018 Amendment 2

CITY AMENDMENT NO. 2 to the UNIVERSITY OF WASHINGTON and CASCADIA COLLEGE TRANSPORTATION PASS "U-PASS" AGREEMENT This Amendment NO. 2 to that certain agreement entitled "UNIVERSITY OF WASHINGTON AND CASCADIA COLLEGE TRANSPORTATION PASS ("U-PASS") AGREEMENT ("Agreement") dated October 1, 2016 is made and entered into by and among the University of Washington, a state institution of higher education and agency of the State of Washington ("University"), Cascadia College, a state institution of higher education and agency of the State of Washington, co-located with the University of Washington at the Bothell campus ("College"), collectively referred to as "Institutions", and the following public transportation agencies ("Participating Agencies"): • The Snohomish County Public Transportation Benefit Area Corporation ("Community Transit") • The City of Everett ("Everett Transit") • King County Department of Transportation, Metro Transit Division ("King County") • The Kitsap County Public Transportation Benefit Area Authority ("Kitsap Transit") • The Pierce County Public Transportation Benefit Area Corporation ("Pierce Transit") • The Central Puget Sound Regional Transit Authority ("Sound Transit") WHEREAS, effective October 1, 2016, the Institutions and the Participating Agencies (hereinafter collectively the "Parties") entered into the Agreement to provide a comprehensive transportation pass program to reduce single occupant vehicle ("SOV") commute trips and improve the mobility of students, faculty, and staff at the University's Seattle, Bothell, and Tacoma campuses, as well as Harborview Medical Center and at the College; and WHEREAS, Section 3 of the Agreement establishes the term of the Agreement and provides for an initial expiration date of September 30, 2017, with an option to extend the Agreement for up to two additional one-year periods; and WHEREAS, the Parties entered into Amendment No. 1 to the Agreement in order to extend the Agreement for a one-year period and to make various other modifications to the Agreement; and WHEREAS, the Parties now desire to extend the term of the Agreement for an additional one- year period until September 30, 2019 and make other modifications to the Agreement, including updates to Attachment 1 and Attachment 2 of the Agreement; and WHEREAS, Subsection 28.2 of the Agreement provides for the Agreement to be amended or modified only by written instrument signed by each of the Parties; NOW, THEREFORE, in consideration of the mutual covenants contained herein, the sufficiency of which is hereby acknowledged, the Parties agree to amend the Agreement as follows: 1. Extension of Term of Agreement As provided for in Section 3 (Term of Agreement), the term of the Agreement is hereby extended for a one-year period through September 30, 2019.
