The Agency also agrees to identify and assign a representative to the Task Force for the purpose <br /> of communicating with the TZM. The representative is strongly encouraged to attend monthly <br /> Task Force meetings which occur on the third Tuesday of every month. <br /> Prohibition on Using Grant Funds to Check for Helmet Usage: <br /> The Agency will not use grant funds for programs to check helmet usage or to create <br /> checkpoints that specifically target motorcyclists. <br /> State/Federal Lobbying: <br /> None of the funds under this Agreement will be used for any activity specifically designed to <br /> urge or influence a federal, state or local legislator to favor or oppose the adoption of any <br /> specific legislative proposal pending before any state or local legislative body. <br /> Disputes: Any disputes arising in regard to this MOU will be submitted in writing to the TZM for <br /> review. The TZM will bring forward the dispute at the next Task Force meeting and any <br /> required decisions will be voted on by the Task Force. A simple majority will be required to <br /> pass the vote and will be final. <br /> Term and Termination: <br /> This MOU will be in effect upon signature and will terminate September 30, 2019. The MOU <br /> may be terminated by either party by providing written notice of such intent to terminate and <br /> specifying the effective date thereof at least thirty (30) days prior to such date. <br /> Hold Harmless: <br /> The County shall save, hold harmless, indemnify and defend the Agency, its elected and <br /> appointed officials, officers, employees and agents, from and against any loss or claim for <br /> damages of any nature whatsoever, including claims by third parties or County employees <br /> against which it would otherwise be immune under Title 51 RCW or other law, arising out of <br /> any act or omission of the County in performance of this Agreement, its elected or appointed <br /> officials, officers, employees or agents, except to the extent the loss or claim is attributable to <br /> the negligence or willful misconduct of the Agency, its elected or appointed officials, officers, <br /> employees or agents. <br /> The Agency shall save, hold harmless, indemnify and defend the County and WASPC, its elected <br /> and appointed officials, officers, employees and agents from and against any loss or claim for <br /> damages of any nature whatsoever, including claims by third parties or the Agency employees <br /> against which it would otherwise be immune under Title 51 RCW or other law, arising out of <br /> any act or omission of the Agency in performance of this Agreement, its elected or appointed <br /> officials, officers, employees or agents, except to the extent the loss or claim is attributable to <br /> the negligence or willful misconduct of the County, its elected or appointed officials, officers, <br /> employees or agents. <br /> Independent Capacity: <br /> 3 <br />
