HCA General Terms and Conditions <br /> (3) Commercial delivery services (e.g. FedEx, UPS, DHL) which offer tracking and receipt <br /> confirmation; and <br /> (4) The Washington State Campus mail system. <br /> For electronic transmission, the Washington State Governmental Network (SGN) is a Trusted System <br /> for communications within that Network. <br /> x. "Unique User ID" means a string of characters that identifies a specific user and which, in conjunction <br /> with a password, passphrase or other mechanism, authenticates a user to an information system. <br /> y. "Vendor" means a dealer, distributor, merchant, or other seller providing goods or services that are <br /> required for the conduct of a federal program. These goods or services may be for an organization's <br /> own use or for the use of beneficiaries of the federal program. See OMB Circular A-133 for additional <br /> details. <br /> z. "WAC" means the Washington Administrative Code. All references in this Interagency Agreement to <br /> WAC chapters or sections shall include any successor, amended, or replacement regulation. Pertinent <br /> WAC chapters or sections can be accessed at: http://apps.leq.wa.gov/wac/. <br /> 2. Access to Data. In compliance with Chapter 39.26 RCW, the Contractor shall provide access to data <br /> generated under this contract to HCA, the Joint Legislative Audit and Review Committee, and the State <br /> Auditor at no additional cost. This includes access to all information that supports the findings, <br /> conclusions, and recommendations of the Contractor's reports, including computer models and <br /> methodology for those models. <br /> 3. Advance Payment. HCA shall not make any payments in advance or anticipation of the delivery of <br /> services to be provided pursuant to this Interagency Agreement. <br /> 4. Amendment. Unless otherwise provided, this Interagency Agreement may only be modified by a written <br /> amendment signed by both parties. Only personnel authorized to bind each of the parties may sign an <br /> amendment. <br /> 5. Assignment. The work to be provided under this Interagency Agreement, and any claims arising there <br /> under, is not assignable or delegable by either party in whole or in part, without the express prior written <br /> consent of the other party, which consent shall not be unreasonably withheld. <br /> 6. Assurances. The Authority and the Contractor agree that all activity pursuant to this Interagency <br /> Agreement will be in accordance with all applicable federal, state and local laws, rules, and regulations. <br /> 7. Attorneys' Fees.
