CITY <br /> AGREEMENT <br /> (2019 EVERETT JULY FOURTH FOUNDATION FIREWORKS DISPLAY) <br /> This Agreement is dated for reference purposes April 12, 2019, and is between the CITY <br /> OF EVERETT (the "City") and EVERETT JULY FOURTH FOUNDATION (the <br /> "Foundation"). <br /> RECITALS <br /> For many years, the Foundation been central in providing the Fourth of July fireworks <br /> display. The Foundation undertakes fundraising and contracts with the fireworks vendor. The <br /> City has traditionally committed that, if the Foundation's fundraising is insufficient to pay to the <br /> fireworks vendor, then the City will make up the difference. The purpose of this agreement is to <br /> continue that arrangement for 2019. <br /> AGREEMENT <br /> The parties agree as follows: <br /> 1. The Foundation will undertake fundraising to raise money for the 2019 fireworks. <br /> The City may, at its discretion, support the fundraising efforts. <br /> 2. The Foundation will contract with a fireworks vendor for the 2019 fireworks display. <br /> The contract amount will not exceed $65,000. The Foundation will allow the City to review the <br /> vendor contract before it is signed by the Foundation. The Foundation will manage the contract. <br /> 3. If the Foundation's fundraising is insufficient to pay the 2019 fireworks vendor <br /> contract amount, the City will provide funding in an amount equal to the insufficiency. If this <br /> occurs, the City may elect to pay such amount to the Foundation or directly to the vendor. <br /> 4. The Foundation (or the fireworks vendor, as appropriate) will obtain all permits <br /> necessary for the fireworks display. <br /> 5. This agreement is the complete agreement of the parties regarding the 2019 <br /> fireworks. This agreement may only be amended by an amendment signed by the Mayor and an <br /> authorized representative of the Foundation.
