rights in, all IP created or provided for the ORCA System except to the extent such IP (a) was created or <br /> provided solely for the use or benefit of the withdrawing Agency; or (b) constitutes Third Party IP <br /> individually licensed to the withdrawing Agency. In the event this Agreement is terminated, each Agency <br /> shall retain any license rights for which it has paid its share of the costs. <br /> 12.10 Survival of Provisions. The provisions of this Section 12.0 shall survive and remain applicable to <br /> the Agencies notwithstanding any termination or expiration of this Agreement and notwithstanding an <br /> Agency's withdrawal or removal from this Agreement.
