15.0 TERMINATION, WITHDRAWAL AND REMOVAL <br /> 15.1 Termination by Joint Board. The Joint Board may terminate this Agreement in its entirety by the <br /> unanimous affirmative vote of all Agency representatives. <br /> 15.2 Notice of Agency Withdrawal. In the event that an Agency believes it has cause to withdraw from <br /> this Agreement and terminate its participation in the Systems Integrator (SI) or other ORCA Vendor <br /> contracts, it shall give written notice to the Joint Board, which shall include the following information, as <br /> a minimum: <br /> 15.2.1 An explanation of the circumstances causing the Agency to believe withdrawal is <br /> necessary; <br /> 15.2.2 A description of the probable impacts on the other Agencies from the withdrawal; <br /> 15.2.3 A description of the probable impacts to the scope, schedule and budget of the SI or other <br /> ORCA Vendor contracts; <br /> 15.2.4 A description of the alternatives to withdrawal that have been evaluated by the Agency; <br /> and <br /> 15.2.5 A proposed withdrawal work plan that will identify all necessary actions which need to be <br /> undertaken to effect the withdrawal. <br /> 15.3 Joint Board Action on Proposed Withdrawal. Upon receipt of the above-described notice and <br /> information, the Joint Board will convene a special meeting to review and consider the request for <br /> withdrawal. The Joint Board will develop a report of its Findings and Recommendations within thirty (30) <br /> days of its special meeting, which shall be presented to the withdrawing Agency's governing board. This <br /> report shall include as a minimum: <br /> 15.3.1 A description of the estimated impacts on the Agencies, separately and as a whole, from <br /> the withdrawal; <br /> 15.3.2 A description of the estimated impacts to the scope, schedule and budget of the SI or <br /> other ORCA Vendor contracts, including the costs to modify the ORCA System to effect <br /> such withdrawal as well as costs that will need to be re-apportioned to the remaining <br /> Agencies; <br /> 15.3.3 A description of the alternatives to withdrawal that have been evaluated by the Agency <br /> and the Joint Board; <br /> 15.3.4 A recommendation regarding either: <br /> 15.3.4.1 A proposed withdrawal work plan that will identify all necessary actions <br /> which need to be undertaken to effect the withdrawal; or <br /> 15.3.4.2 Proposed alternatives to the withdrawal. <br /> 15.4 Agency Decision on Withdrawal. Upon receipt of the Joint Board's Findings and <br /> Recommendations, the withdrawing Agency's governing board shall review the information contained <br /> therein and decide whether to withdraw subject to the terms and conditions set forth by the Joint Board, <br /> 39 <br />
