13.3 This Agreement shall be governed by the laws of the State of <br /> Washington. Exclusive venue for any dispute arising out of this Agreement is Snohomish <br /> County Superior Court. <br /> 13.4 This Agreement is for the benefit only of the parties hereto and shall <br /> inure to the benefit of and binds the heirs, personal representatives, successors and <br /> assigns of the parties hereto. Buyer may not assign this Agreement without Seller's prior <br /> written consent in its sole discretion. <br /> 13.5 The invalidity or unenforceability of any provision of this Agreement <br /> shall not affect the validity or enforceability of any other provision hereof. This Agreement <br /> was negotiated, and the language in all parts will be given its fair meaning and will not <br /> strictly for or against either party. <br /> 13.6 Neither party (nor any of their respective agents or representatives) <br /> shall record this Agreement(or any memorandum or short form of this Agreement)without <br /> the prior written consent of the other. <br /> 13.7 "Business Day" means a date that is not a Saturday, Sunday, or <br /> holiday observed by federally chartered banks in the State where the Property is <br /> located. Whenever any determination is to be made or action to be taken on a date <br /> specified in this Agreement, if the date falls upon a date that is not a Business Day, the <br /> date for the determination or action shall be extended to the first Business Day <br /> immediately thereafter. <br /> 14. Limitation of Representations and Warranties. <br /> 14.1 As-Is. Except as expressly set forth in Section 9, Buyer <br /> acknowledges and agrees that Buyer is purchasing the Property in an "as-is" condition, <br /> "with all faults," and without any warranties, representations, or guarantees, either <br /> express or implied, of any nature whatsoever from or on behalf of Seller, including, without <br /> limitation, those of fitness for a particular purpose and use. <br /> 14.2 No Reliance. Buyer acknowledges and agrees that(i) Buyer has had <br /> an adequate opportunity to make such legal, factual, and other inquiries and investigation <br /> as Buyer deems necessary, desirable, or appropriate with respect to the Property, (ii) <br /> except as otherwise expressly set forth in Section 9 of this Agreement the purchase of <br /> the Property will be on the basis of Buyer's own investigation of the physical, <br /> environmental and other condition of the Property and the condition of the physical <br /> improvements, including subsurface conditions, and (iii) except as otherwise expressly <br /> set forth in Section 9 of this Agreement, neither Seller, nor anyone acting for or on behalf <br /> of Seller, has made any representation, warranty, promise, or statement, express or <br /> implied, to Buyer, or to anyone acting for or on behalf of Buyer, concerning the Property <br /> or the condition, use, or development thereof. Buyer represents that, in entering into this <br /> Agreement, Buyer has not relied on any representation, warranty, promise, or statement, <br /> express or implied, of Seller, or anyone acting for or on behalf of Seller, other than as <br /> expressly set forth in Section 9 of this Agreement. <br /> 10 <br />
