3. Promissory Note dated May 2, 2018 in the original principal amount of$377,467; <br /> 4. Leasehold Deed of Trust recorded under Snohomish County recording number <br /> 201805080524; and <br /> 5. Leasehold Use Restriction Covenant Agreement recorded under Snohomish <br /> County recording number 201805080525. <br /> (collectively,the "City CDBG Documents"). <br /> The 2017 Loan Agreement and the 2016 Loan Agreement were evidenced by the <br /> Promissory Note, secured by the Leasehold Deed of Trust, and executed in connection with the <br /> Use Restriction Covenant Agreement. The parties agree that it is necessary to terminate 2017 <br /> Loan Agreement, and to amend the Promissory Note and Leasehold Deed of Trust so that they <br /> only refer to the 2016 Loan Agreement. No funds have been advanced to Grantor under the 2017 <br /> Loan Agreement. No amendment is necessary to the Use Restriction Covenant Agreement. The <br /> Grantor and the Grantee desire to amend the City CDBG Documents to make these changes. All <br /> capitalized terms that are used, but are not defined, in this Agreement will have their respective, <br /> applicable meanings as set forth in the City CDBG Documents. <br /> Accordingly,the Grantor and the Grantee agree to the following agreements regarding the <br /> City CDBG Documents: <br /> 1. The 2017 Loan Agreement is hereby terminated. <br /> 2. Section 1 of the Promissory Note is amended as follows, with strikeouts deleted <br /> and underlining added: <br /> 1. Promise to Pay. In consideration of the Loan provided by City of Everett <br /> ("Holder") pursuant to the City of Everett CDBG Loan Agreement (the <br /> "Agreements)" or the "Loan Agreemenqsf"), HopeWorks Social Enterprises <br /> ("Maker"), hereby promises to pay to the order of Holder, at such place as Holder <br /> may designate in writing, in lawful money of the United States of America, the <br /> principal sum of$158,400$377,'167 on the terms and conditions set forth herein and <br /> in the Loan Agreements. <br /> 3. The following language in the Leasehold Deed of Trust is amended as <br /> follows,with strikeouts deleted and underlining added: <br /> This deed of trust is for the purpose of securing performance of each agreement of <br /> Grantor herein contained, and in the City of Everett CDBG Loan Agreements <br /> between Grantor and the Beneficiary (hereinafter the "Agreement(s1"), dated on or <br /> about November 21, 2016 and dated as May 7, 2018, and payment of$377,167 <br /> $158,400 in accordance with the terms of a promissory note of even date herewith <br /> (the "Note"),payable to Beneficiary or order, and'all renewals,modifications and <br /> First Omnibus Amendment and Loan Termination Agreement Page 2 <br />
