<br /> 5. DEFAULT:
<br /> A. Time is of the essence in this agreement. Buyer agrees that in the event it shall be in default in the payment of any sum due under this agreement,or shall fail
<br /> to perform any other of its obligations hereunder,or bankruptcy,receivership,assignment for benefit of creditors or other insolvency proceedings are commenced
<br /> by or against Buyer,Berry Sign Systems shall have the right to immediately repossess the goods sold,and remove the same from the premises without a prior
<br /> hearing or resort to judicial process. Such right to repossession shall be in addition to any right Berry Sign Systems may have to recover the purchase price
<br /> hereunder or damages for breach of this agreement,and shall include the right to disconnect the sign or otherwise render it unusable.
<br /> B. Acceptance by Berry Sign Systems or a partial payment shall not be construed as a waiver of Berry Sign Systems right to full and immediate payment. All
<br /> overdue payments shall be assessed a service fee at the rate of 1-1/2%per month.
<br /> 6. COLLECTION:
<br /> A. in the event this agreement is placed by Berry Sign Systems in the hands of an attorney after default for enforcement of collection,Buyer will pay Berry Sign
<br /> Systems reasonable attorney's fees,including,without limitation,fees for the successful defense of any counterclaim.
<br /> B. In the event this agreement is placed by Berry Sign Systems in the hands of a collection agency after default,Buyer will pay Berry Sign Systems the agency's
<br /> fees for enforcement of collection.
<br /> C. Returned checks shall be charged a$35.00 processing fee.
<br /> 7. VENUE:
<br /> The waiver of any defaults shall not operate as a waiver of subsequent default. This agreement should be construed in accordance with the law of the State of
<br /> Washington,and venue for jurisdiction for any litigation will be Superior Court,Snohomish County,WA and if any part or provision of this agreement is contrary to
<br /> such law,the remaining provisions shall be binding nevertheless.
<br /> 8. BUYERS SPECIAL DUTIES:
<br /> A. Buyer wilt obtain for,does warrant to and will maintain for Berry Sign Systems,full rights to access,ingress and egress,to install and maintain,when
<br /> appropriate,the Sign on the premises for which it is ordered,and in the event of default,to disconnect,render unusable and remove the same therefrom free and
<br /> clear of lien or encumbrance when so requested by Berry Sign Systems. Buyer will indemnify Berry Sign Systems against and hold Berry Sign Systems harmless
<br /> from damage of expense resulting from a breach of this provision.
<br /> B. At its own expense,Buyer is to furnish legal power lines of suitable capacity to operate the Sign and to install the same as designated by Berry Sign Systems
<br /> ready and in place for connection to the Sign,and pay all charges for electrical current. Unless specifically provided herein to the contrary,Buyer shall provide all
<br /> necessary reinforcements to the building in which the Sign is installed. In addition,buyer is to furnish,at its own expense,electrical control(s)(electrical panel
<br /> switch,timer,photo cell,etc)to operate the sign in an on/off manner.
<br /> 9. SCOPE OF SALESMAN'S AUTHORITY:
<br /> This agreement contains all of the covenants between the parties hereto pertaining to the Sign and no representations made by Berry Sign Systems salesmen
<br /> shall be binding unless incorporated herein in writing. The agreement shall not be binding upon Berry Sign Systems for any purpose until the same is executed by
<br /> an authorized executive/general manager.
<br /> 14,WARRANTY:
<br /> Architectural and Electrical Signs: One year guarantee(90 days on fluorescent lamps&incandescent bulbs)on new materials and workmanship.
<br /> Awnings: One year guarantee on mounting material; fabric as warranted by manufacturer.
<br /> Electronic Message Centers: As per manufacturer warranty.
<br /> Rental Equipment: Customer is responsible for equipment rental costs on warranty work. There are no other express or implied warranties.
<br /> 11. MISCELLANEOUS:
<br /> A. Except where otherwise stated,the Sign is sold F.O.B.Berry Sign Systems factory,
<br /> B. This agreement is made by Berry Sign Systems upon the condition that its performance shall be excused for delay by strikes,breakage,fires,commercial
<br /> delays,insurrection,wars,acts of God,governmental regulations,or other conditions that prevent normal operations.
<br /> C. All of the terms and conditions hereof shall be binding upon and inure to the benefit of the successors,assigns and legal representatives of the respective
<br /> parties.
<br /> D. Berry Sign Systems does NOT begin fabrication of signage prior to receiving permits or written approval from the governing agency unless a Statement of
<br /> Responsibility, release of liability,is on file in our office.
<br /> E. Prices do not include fuel surcharges,environmental fees or other one time charges.
<br /> F. Price quote is in effect for 14 days from date of purchase agreement.
