Unique Management Services Inc 3/2/2009 Amendment 1

AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND UNIQUE MANAGEMENT SERVICES,INC. This Amendment No. 1 is dated as of March 2, 2009, by and between the City of Everett (the "City") and Unique Management Services,Inc. ("Contractor" or"Unique"). WHEREAS, the City and Contractor entered into a Professional Services Agreement dated as of January 1, 2000 (the "Agreement"); and WHEREAS, Section 2 of the Agreement states that the Agreement "shall be completed by January 1, 2001"; and WHEREAS,the parties to the Agreement have acted as though the Agreement has been continuously in effect since January 1,2000; and WHEREAS, the parties desire to amend the Agreement and to renew the Agreement so that it is completed on December 31, 2011. The City and Contractor agree as follows: 1. The Agreement is deemed to have been continuously in effect since January 1, 2000. Section 2 of the Agreement is deleted and replaced with the following: Time of Beginning and Completion of Performance.This Agreement shall commence as of the date of execution of this Agreement and shall be completed by December 31,2011. 2. Section 20 of the Ageement is deleted and replaced with the following: Notices. A. Notices to the City of Everett shall be sent to the following address: City of Everett Attn: Administrative Coordinator 2702 Hoyt Ave Everett,WA 98201 B. Notices to the Contractor shall be sent to the following address: Unique Management Services.Inc. Attn:Nicole Atkins 119 East Maple Street Jeffersonville,IN 47130 3. Exhibit A to the Agreement is deleted and replaced with the following: Collection.From time to time,the City will submit past due library patron accounts for collection by Unique Management Services.The City hereby assigns these submitted accounts to Unique.
