Remix Technologies LLC 7/3/2023 Amendment 1

Amendment #1 to the Remix Services Agreement for Everett Transit Remix Technologies LLC (“Remix”)and Everett Transit (“Customer”and,together with Remix,the “Parties”)have entered into that certain agreement titled Remix Services Agreement (the “Agreement”),effective July 1,2021.Upon execution of this Amendment #1 (the “Amendment”),the Parties agree to modify the Agreement as follows: 1.Amendment:The Parties agree to add Scheduling Platform services,as detailed below: a.Term.With effect from July 1,2023 (the “Effective Date”)the Parties hereby agree to the duration of the Amendment from the Effective date until June 30, 2024. a.Price.The Parties hereby agree to the following price structure: Remix Scheduling License July 1,2023 -June 30,2024:$21,564.77 USD ($25,000 USD) Implementation Fee for Scheduling $5,346 USD ($9,000 USD) Payment Terms Purchase Orders will be fulfilled separately between Customer and Carahsoft. Remix License Summary Total Amendment Value:$26,910.77 USD Pricing valid if signed by June 30,2023. Includes: ●Remix Scheduling licenses for an unlimited number of users within organization. ●Software as a Service (SaaS):fully hosted,cloud-based web platform. ●Platform functionality as described in the Agreement with continuous improvements released throughout the course of the contract. ●Dedicated Customer Success staff. ●Premium Enterprise Support:response to requests in 1 business day Marketing Terms Willingness to work with Remix to develop a case study,mutually agreeable press release,ability to use Customer as a reference. Additional Services Customer acknowledges that additional services,such as access to Company's (including its affiliates)proprietary technology platform used to establish,monitor, operate and/or manage fixed-route and demand responsive transit networks,may be
