•( //14..7 <br /> ORDINANCE NO. 2610-02 <br /> AN ORDINANCE CONSENTING TO CABLE TELEVISION FRANCHISEE'S CHANGE OF <br /> CONTROL AND INTERNAL RESTRUCTURING <br /> WHEREAS, the City granted Everett Cablevision, Inc., a Washington corporation <br /> ("Franchisee") doing business as Viacom Cablevision, a franchise to provide cable television <br /> services in the City in Ordinance no. 1140-85; and <br /> WHEREAS, the City approved the assignment and transfer of the franchise to an investor <br /> group led by Viacom's senior management called Viacom Cablevision of Pacific Northwest, Inc., <br /> on December 10, 1986 by Resolution no. 2793; and <br /> WHEREAS, City approved a transfer of ownership of the franchise to National <br /> Amusements, Inc. on April 15, 1987 by Resolution 2849; and <br /> WHEREAS, City approved a change of control of the franchisee to TCI Communications, <br /> Inc., on December 6, 1995 by Ordinance 2110-95; <br /> WHEREAS, the City consented to the merger of Telecommunications, Inc. ("TCI"), the <br /> corporate parent of Viacom,with AT&T Corp. by Resolution 4686 on November 18, 1998; and <br /> WHEREAS, the Franchisee is now an indirect subsidiary of AT&T Corp. ("AT&T"), and <br /> AT&T intends to merge its cable television operations with Comcast Corporation ("Comcast") to <br /> create a new company to be known as AT&T Comcast Corporation ("AT&T Comcast") pursuant <br /> to the terms of an Agreement and Plan of Merger dated December 19, 2001 by and among <br /> AT&T, AT&T Broadband Corp., Comcast Corporation and certain of their respective affiliates, <br /> Ordinance Consenting to Cable Television Franchisee's Change of Control and Internal <br /> Restructuring <br /> Page 1 of 4 <br />
