Crry LICENSE TO USE CITY PROPERTY THIS LICENSE AGREEMENT(the"License"), between the City of Everett as Grantor (the"City) and Angel Of The Winds Arena,2000 Hewitt Ave., Everett, WA 98201 as the Grantee("AWA"), relates to the city owned parking lot located at the northeast corner of 26th Street and W. Marine View Drive, Everett, WA (the"property"). RECITALS A. AWA desires to utilize the property for vehicle and trailer parking use during a WWE event at the arena("Event"). B. The City is willing to grant AWA authority to use the City's property upon certain terms and conditions. AGREEMENT In consideration of mutual benefits and other good and valuable consideration,the receipt and sufficiency of which is hereby expressly acknowledged,the City licenses AWA to use the Property upon the following terms and conditions: Section 1. LICENSED PROPERTY. The specific area of property owned by the City, and subject to this License, is legally described as LOTS 5 THRU 16, BLOCK 558, PLAT OF EVERETT DIV. G, as filed for record under Vol. 4, Page 41, records of Snohomish County, State of Washington. Section 2. TERM. This License shall be effective beginning at 6:00 A.M. June 23, 2019,and shall expire at 11:59 P.M.on June 24,2019,unless terminated earlier per Section 7,below. Section 3. FEE: AWA agrees to pay a one-time fee of$540 plus Lease Hold Tax at the rate of 12.84%($69.34) for its use of the property. Section 4. AUTHORIZED USE. AWA may only use the property for the purpose of vehicle and trailer parking in conjunction with the Event. Section 5. INDEMNIFICATION. AWA hereby agrees to defend, indemnify and hold the City harmless from any and all Claims for injury to people or damage to property arising out of or related to this License.
