CITY <br /> LICENSE TO USE CITY PROPERTY <br /> THIS LICENSE AGREEMENT (the"License"),between the City of Everett as Grantor <br /> (the "City) and Forma Construction, 1016 1st Ave South, Suite 400, Seattle, WA 98134, <br /> its officers, employees, agents, subcontractors, and invitees as the Grantee ("FORMA"), <br /> relates to the city owned property located on the west side of 1st Place W,Everett,WA(the <br /> "property"). <br /> RECITALS <br /> A. FORMA desires to utilize the property for construction staging and storage <br /> use for the City's Everett Mall Way Conduit Improvement Project,the ("project"). <br /> B. The City is willing to grant FORMA authority to use the City's property <br /> upon certain terms and conditions. <br /> AGREEMENT <br /> In consideration of mutual benefits and other good and valuable consideration, the receipt <br /> and sufficiency of which is hereby expressly acknowledged, the City licenses FORMA to <br /> use the property upon the following terms and conditions: <br /> Section 1. LICENSED PROPERTY. The specific 0.15 acre area of property owned <br /> by the City, and subject to this License, is Snohomish County Assessor's Parcel Number <br /> 28042400102400 located on the west side of 1st Place W,just north of SW Everett Mall <br /> Way and as generally depicted on Exhibit A, attached hereto and incorporated herein by <br /> reference. <br /> Section 2. TERM. This License shall be effective beginning at 6:00 A.M. July 9, <br /> 2019, and shall expire at midnight on September 30, 2019, unless terminated earlier per <br /> Section 7, below. <br /> Section 3. Intentionally omitted. <br /> Section 4. AUTHORIZED USE. FORMA may only use the property for the purpose <br /> of construction staging and storage in conjunction with the City's project. <br /> Section 5. INDEMNIFICATION. FORMA hereby agrees to defend, indemnify and <br /> hold the City harmless from any and all Claims for injury to people or damage to property <br /> arising out of or related to this License.
