CITY LICENSE TO USE CITY PROPERTY THIS LICENSE AGREEMENT(the"License"),between the City of Everett as Grantor (the "City) Angel Of The Winds Arena, 2000 Hewitt Ave., Everett, WA 98201 as the Grantee ("AWA"), relates to an approximately 0.4 acre portion of property owned by the City located at 4000 Railway Ave, Everett,WA(the"Property"). RECITALS A. AWA desires to utilize property owned by the City for truck and trailer parking. B. The City is willing to grant AWA authority to use the City's property upon certain terms and conditions. AGREEMENT In consideration of mutual benefits and other good and valuable consideration, the receipt and sufficiency of which is hereby expressly acknowledged,the City licenses AWA to use the Property upon the following terms and conditions: Section 1. LICENSED PROPERTY. The specific area of property owned by the City, and subject to this License, is an area approximately one half of one acre in size and is more fully set forth as depicted in Exhibit A,attached hereto,or as otherwise directed by the City's Maintenance and Operations Supervisor,Patrick Mitchell,or other city designee. Section 2. TERM. This License shall be effective beginning July 28, 2019 at 8:00 a.m.,and shall expire on July 29,2019 at 11:59 p.m.,unless terminated earlier per Section 7, below. Section 3. FEE: AWA agrees to pay a one-time fee of$540 plus Lease Hold Tax at the rate of 12.84%($69.34) for its use of the property. Section 4. AUTHORIZED USE. AWA may only use the Property for the temporary parking of truck and trailers associated with the concert event of AWA. Incident to this authorized use, AWA may install temporary fencing in conformance with Section 16 below. Section 5. INDEMNIFICATION. AWA hereby agrees to defend, indemnify and hold the City harmless from any and all Claims for injury to people or damage to property page 1
