CITY <br /> LICENSE TO USE CITY PROPERTY <br /> THIS LICENSE AGREEMENT(the"License"),between the City of Everett as Grantor <br /> (the "City) Angel Of The Winds Arena, 2000 Hewitt Ave., Everett, WA 98201 as the <br /> Grantee ("AWA"), relates to an approximately 0.4 acre portion of property owned by the <br /> City located at 4000 Railway Ave, Everett,WA(the"Property"). <br /> RECITALS <br /> A. AWA desires to utilize property owned by the City for truck and trailer <br /> parking. <br /> B. The City is willing to grant AWA authority to use the City's property upon <br /> certain terms and conditions. <br /> AGREEMENT <br /> In consideration of mutual benefits and other good and valuable consideration, the receipt <br /> and sufficiency of which is hereby expressly acknowledged,the City licenses AWA to use <br /> the Property upon the following terms and conditions: <br /> Section 1. LICENSED PROPERTY. The specific area of property owned by the <br /> City, and subject to this License, is an area approximately one half of one acre in size and <br /> is more fully set forth as depicted in Exhibit A,attached hereto,or as otherwise directed by <br /> the City's Maintenance and Operations Supervisor,Patrick Mitchell,or other city designee. <br /> Section 2. TERM. This License shall be effective beginning July 28, 2019 at 8:00 <br /> a.m.,and shall expire on July 29,2019 at 11:59 p.m.,unless terminated earlier per Section <br /> 7, below. <br /> Section 3. FEE: AWA agrees to pay a one-time fee of$540 plus Lease Hold Tax at <br /> the rate of 12.84%($69.34) for its use of the property. <br /> Section 4. AUTHORIZED USE. AWA may only use the Property for the temporary <br /> parking of truck and trailers associated with the concert event of AWA. Incident to this <br /> authorized use, AWA may install temporary fencing in conformance with Section 16 <br /> below. <br /> Section 5. INDEMNIFICATION. AWA hereby agrees to defend, indemnify and <br /> hold the City harmless from any and all Claims for injury to people or damage to property <br /> page 1 <br />
