Direct Count Program Agreement <br /> THIS AGREEMENT is entered into this day of MCJ&VcAr1 , 2018,by and between <br /> THE BOEING COMPANY (hereinafter referred to as the "Applicant"), and the CITY OF <br /> EVERETT, a municipal corporation under the laws of the State of Washington (hereinafter <br /> referred to as the "City"). <br /> WITNESSETH: <br /> WHEREAS, the City and Applicant agree to follow a direct count traffic monitoring system to <br /> continuously measure the inbound and outbound vehicle trips at all of the main Boeing Everett <br /> site access driveways. <br /> WHEREAS, the direct count traffic monitoring system is to accurately identify the Boeing PM <br /> peak hour and measure Boeing peak hour traffic volumes through trip counts to determine <br /> compliance with the 1991 Boeing Expansion FEIS. <br /> WHEREAS, the data would then be compared with the baseline peak hour trips as identified and <br /> mitigated for in the 1991 Boeing Expansion FEIS or subsequent baselines as provided for in this <br /> Agreement. <br /> WHEREAS, Boeing has already mitigated for 12,315 baseline PM peak hour trips as a part of <br /> the 1991 Boeing Expansion EIS. If PM peak hour trip counts increase above the current baseline <br /> of 12,315, Boeing would then mitigate for any additional PM peak hour trips above this current <br /> baseline. Thereafter, the new trip count would become the new baseline and Boeing would <br /> continue to mitigate for trips over the baseline in effect on an annual basis. <br /> WHEREAS, as a result of the direct count traffic monitoring system, the City of Everett will <br /> eliminate the parking and employee cap placed on the main Boeing Everett site pursuant to the <br /> 1991 Boeing Expansion EIS. <br /> NOW, THEREFORE, the City and the Applicant mutually agree as follows: <br /> 1) PURPOSE. The purpose of this Agreement is to, consistent with Proposed Addendum No. <br /> 19 to the 1991 Boeing Everett Mitigation Decision Document, SEPA#17-009 or a <br /> substantially similar final Addendum No. 19 to the 1991 Boeing Everett Mitigation Decision <br /> Document, SEPA#17-009 (either document is the "Decision Document"), authorize and <br /> provide for a direct count monitoring system (the "Direct Count System") at Applicant's <br /> main Everett site. Further, this Agreement establishes Applicant reporting requirements for <br /> the purpose of determining compliance with the Decision Document. The Decision <br /> Document is Exhibit A to this Agreement and is, by reference, incorporated herein in its <br /> entirety. <br /> 2) SITE. 3003 W.
